NT Orz FIRCT 0r:t=i1Ce1 <br />This agreement made this 1st day of February, 1984, by and between the City <br />of Vero Beach, Florida, a municipal corporation organized under the laws of the <br />State of Florida (City), address: P.O. Box 1389, Vero Beach, Florida, 32961-1389, <br />telephone: 567-5151, and Indian River County, a political subdivision of the State <br />of Florida (County), address: 1840 25th Street, Vero Beach, Florida, 32960, <br />telephone: 5.67-8000, <br />WITNESSETH: <br />WHEREAS, the City is the owner of a certain parcel of property of <br />approximately 10 acres in size located at the Vero Beach Municipal Airport, the <br />legal description of which is attached to this agreement in Exhibit A, which land is <br />hereinafter referred to as the "Airport Land", and <br />WHEREAS, the County is the contract -purchaser of a 20 -acre parcel of <br />property north of and adjacent to the Airport Land, which property will be used <br />by the County for the construction of a criminal justice complex, and <br />WHEREAS, the County desires to enter into this right of first refusal with the <br />City to insure the Airport land's availability in the event the County expands the <br />complex in the future, <br />NOW THEREFORE, for and in consideration of the sum of ONE DOLLAR and <br />other valuable consideration in hand paid to the City by the County the receipt of <br />which is hereby acknowledged, the County and the City agree as follows: <br />1) Right of <br />First Refusal. <br />During <br />the term of this agreement the City shall <br />No offers shall be presented by the <br />not sell, lease, <br />or otherwise <br />dispose <br />of the Airport Land to any third -party <br />without first having offered the Airport Land to the County under the same terms <br />and conditions as offered by such third -party and accepted by the City. <br />2) The Term. The term of this agreement shall be for 20 years from the date <br />of this agreement. <br />3) <br />Activation of Right of <br />First <br />Refusal. <br />No offers shall be presented by the <br />City to <br />the County under this <br />right <br />of first <br />refusal until the City shall have first <br />executed a contract with a third -party concerning the Airport Land, which <br />contract shall be subject to the County's exercise of its right of first refusal. <br />FEB1 1984 <br />_ '56 PACE <br />
