Bowman, Commissioner <br />SUBJECT: Douglas Elementary <br />School --Florida <br />Community Health <br />Centers, Inc. <br />FROM: REFERENCES: <br />The Board of County Commissioners on August 3, 1983, addl, fed <br />Resolution No. 83-56, authorizing the execution of a quitclaim <br />deed to Florida Community Health Centers, Inc. (a copy of <br />which is attached), conveying the Douglas Elementary School <br />site to the nonprofit corporation. The deed contained both <br />reversionary clauses and reservation -of -use clauses. Of <br />interest is a clause that reads as follows: <br />This property shall automatically revert to the ownership <br />of the first party if: ... 2 . The party of the second <br />part (Florida Community Health Centers, Inc. a nonprofit <br />corporation) (c) fails to complete renovations and begin <br />providing medical or supportive services to residents of <br />Indian River County within nine months of the date of <br />this deed. <br />The nine-month period expired on May 3, 1984. On April 25, <br />1984, Mr. Diaz, former Executive Director, requested a four- <br />month extension. The Commission, at that time, granted a <br />six-month extension, which will expire on November 3, 1984. <br />In the interim, the Center has changed leadership with the <br />addition of the new Executive Director, Mr. Ed Brown. He has <br />indicated that the $50,000 originally allocated for the <br />commencement of the project was lost when the funds were not <br />used at the time originally anticipated. He has now been <br />assured that there is a "possibility" of new funding in <br />December if he puts together a new, more extensive plan for <br />utilization of the site. He further indicated a willingness <br />and desire to pursue the funding. <br />In anticipation of possibly taking the property back, I have <br />requested our insurance company to do an appraisal of the <br />building in order to develop a quote for . insuring the <br />premises. <br />Respectfully submitted, <br />Ge Brandenburg, <br />C ;nty Attorney <br />
