SECTION 9: ASSIGNABILITY. <br /> The CONTRACTOR shall not sublet, assign, or transfer any interest in this Contract, or <br /> claims for the money due or to become due out of this Contract to a bank, trust <br /> company, or other financial institution without written COUNTY approval. When <br /> approved by the COUNTY, written notice of such assignment or transfer shall be <br /> furnished promptly to the COUNTY <br /> SECTION 10: COMMENCEMENT / IMPLEMENTATION SCHEDULE OF CONTRACT. <br /> (a) The CONTRACTOR shall commence the provision of services as described in <br /> this Contract immediately upon execution of this Contract. <br /> (b) The CONTRACTOR and the COUNTY agree to make every effort to adhere to <br /> the schedules established for the various Work Orders as described in each Work Order. <br /> However, if the CONTRACTOR is delayed at any time in the provision of services by any <br /> act or omission of the COUNTY, or of any employee of the COUNTY, or by any other <br /> Contractor employed by the COUNTY, or by changes ordered by the COUNTY, or by <br /> strikes, lock outs, fire, unusual delay in transportation, unavoidable casualties, or any <br /> other causes of Force Majeure not resulting from the inactions or actions of the <br /> CONTRACTOR and beyond the CONTRACTOR'S control which would not reasonably <br /> be expected to occur in connection with or during performance or provision of the <br /> services, or by delay authorized by the COUNTY pending a decision, or by any cause <br /> which the COUNTY shall decide to justify the delay, the time of completion shall be <br /> extended for such reasonable time as the COUNTY may decide in its sole and absolute <br /> discretion. It is further expressly understood and agreed that the CONTRACTOR shall <br /> not be entitled to any damages or compensation, or be reimbursed for any losses on <br /> account of any delay or delays resulting from any of the aforesaid causes or any other <br /> cause whatsoever. <br /> SECTION 11: PIGGY BACK PURCHASING CLAUSE. This contract shall be for the <br /> use of Indian River County In addition, other political subdivisions and/or local <br /> governments may also participate at their discretion and responsibility. Any eligible <br /> agency may elect to participate on this contract if the CONTRACTOR also agrees to do <br /> so. <br /> SECTION 12: LENGTH OF CONTRACT. <br /> (a) The term of this Contract is for three (3) years commencing on the date of full <br /> execution of this Contract by the parties. <br /> (b) The CONTRACTOR services shall begin upon written notification to proceed by <br /> the COUNTY. <br /> (c) CONTRACTOR services shall be on a work order basis and may include matters <br /> such as serving as an expert witness. <br /> (d) Subsequent to the conclusion of the initial three (3) year term, this Contract may <br /> be renewed annually, at the COUNTY's discretion and with COUNTY Board of County <br /> Commissioners approval, for a maximum of two (2) additional years.
