Van Fleet Water Production Facility Improvements BVP 13-196 <br /> 7.4.3 The divisions and sections of the Specifications and the identifications of any Drawings shall not <br /> control the Contractor in dividing work among subcontractor or delineating the Work to be performed by <br /> any specific trade. <br /> 7.4.4 The Contractor agrees to bind specifically every subcontractor to the applicable terms and <br /> conditions of the Contract Documents, including but not limited to the General Conditions and <br /> Supplementary Conditions, for the benefit of the County. <br /> 7.4.5 All Work performed for the Contractor by a subcontractor shall be pursuant to an appropriate <br /> written agreement between the Contractor and the subcontractor which shall contain provisions that <br /> waive all rights the contracting parties may have against one another for damages caused by fire or other <br /> perils covered by insurance, except such rights as they may have to the proceeds of such insurance held <br /> by the County as trustee. The Contractor shall pay each subcontractor an appropriate amount, <br /> determined by the value of the Work, of any insurance monies received by the Contractor under this <br /> insurance. <br /> 7.5 Patent Fees and Royalties <br /> 7.5.1. The Contractor shall pay all license fees and royalties and assume all costs incident to the use of <br /> any invention, design, process or device which is the subject of patent rights or copyrights held by others. <br /> The Contractor shall indemnify and hold harmless the County and its employees and agents from and <br /> against all claims, costs, losses and damages arising out of or resulting from any infringement of patent <br /> rights or copyrights incident to the use in the performance of the Work or resulting from the <br /> incorporation in the Work of any invention, design, process, product or device not specified in the <br /> Contract Documents. <br /> 7.6 Permits <br /> 7.6.1 The Contractor shall obtain and pay for all construction permits, licenses, governmental charges, <br /> inspection fees and all public utility charges which are applicable and necessary for the execution of the <br /> Work. All permit costs and public utility charges shall not be included in the base price. Permit fees, if <br /> any, will be reimbursed to the Contractor on a separate invoice. Permits, if any, that are provided and <br /> paid for by the County, are listed in the Supplementary Conditions. Any delays associated with the <br /> permitting process will be considered for time extensions only; however, no damages or additional <br /> compensation for delay will be allowed. <br /> 7.7 Laws and Regulations <br /> 7.7.1 The Contractor shall give all notices and comply with all laws, ordinances, rules and regulations <br /> applicable to the Work. If the Contractor observes that any of the Contract Documents are contradictory <br /> to such laws, rules and regulations, it will notify the Professional promptly in writing. Any necessary <br /> changes shall then be adjusted by an appropriate Change Order. If the Contractor performs any Work that <br /> they know or should have known to be contrary to such laws, ordinances, rules and regulations and <br /> without such notice to the Professional,the Contractor shall bear all related costs. <br /> 7.8 Taxes <br /> 7.8.1 The Contractor shall pay all sales, consumer, use and other similar taxes required to be paid by <br /> the Contractor in accordance with the Laws and Regulations of the place of the Project which are <br /> applicable during the performance of the Work. <br /> 70 <br /> vi 2.- 1a <br />
