6. If a single Work Order is issued for cleaning the treatment channel and the two sediment cells, <br /> complete all Work within 15 business days of receipt of the Notice-to-Proceed. <br /> LIMITS OF THE WORK <br /> Locations of the treatment channel,sediment cells,and sediment recovery area are shown on Figure 1. <br /> INVOICING <br /> Applications for payment shall be submitted to OWNER after satisfactorily completing the work issued in <br /> each Work Order. All invoices must be directed to Indian River County Stormwater Division. <br /> PERFORMANCE <br /> Perform all authorized work promptly and diligently in a good, proper,and workmanlike manner in <br /> accordance with these Specifications. Work will be authorized by a Work Order issued by OWNER <br /> periodically throughout the term of the contract. CONTRACTOR, in doing the work, shall have the <br /> freedom to perform the authorized work by such means and in such a manner as it may choose within <br /> the limits of these Specifications and times specified. CONTRACTOR's employees shall not be deemed <br /> employees of the OWNER for any purposes whatsoever. <br /> SAFETY <br /> Conduct all work in such a manner as to avoid damage to adjacent private or public property and <br /> immediately repair or pay for any damage caused. <br /> DISPUTE <br /> Except as otherwise provided for in the Contract,any dispute concerning a question of fact or <br /> interpretation of a requirement of the Contract which is not disposed of by mutual consent between the <br /> parties,shall be decided by the Indian River County Public Works Director or his representative,who <br /> shall reduce the decision to writing and furnish a copy thereof to the parties. In connection with any <br /> dispute proceeding under this clause,the party shall be afforded an opportunity to be heard and to offer <br /> evidence in support of its version of the facts and interpretation of the Contract. Thereafter, <br /> CONTRACTOR may appeal to the County Administrator and if an unfavorable ruling is received,to the <br /> County Commissioners,all in accordance with Indian River County Code section 100.06. Appeals may <br /> also be made to a court of competent jurisdiction. <br /> TERMINATION BY THE COUNTY <br /> OWNER reserves the right to terminate this Contract by giving thirty(30)days written notice of its <br /> intention to terminate, if at any time CONTRACTOR fails to abide by or fulfill any of the terms and <br /> conditions of the Contract. OWNER also reserves the right to terminate this Contract for the sole <br /> convenience of OWNER with or without cause. <br /> CHANGE IN CONTRACT PRICE <br /> The Contract price may only be changed by a written Change Order, duly signed by OWNER and <br /> CONTRACTOR that sets forth with particularity the change or changes made.
