6.02 Payment of Administrative Expenses <br /> The Employer shall pay all reasonable expenses incurred in administering the Plan. <br /> 6.03 Reporting and Disclosure Obligations <br /> Unless specified otherwise, it shall be the Employer and Plan Administrator's sole <br /> responsibility to comply with all filings, reporting, and disclosure requirements, imposed <br /> by the DOL and/or IRS. Furthermore, the Employer and Plan Administrator shall be <br /> required to amend the Plan as is necessary to ensure compliance with applicable tax and <br /> other laws and regulations. <br /> 6.04 Indemnification <br /> The Plan Administrator shall be indemnified by the Employer against claims, and the <br /> expenses of defending against such claims, resulting from any action or conduct relating <br /> to the administration of the Plan except claims arising from gross negligence, willful <br /> neglect, or willful misconduct. <br /> ARTICLE VII—PLAN FUNDING <br /> The Plan shall be funded with amounts withheld from Compensation pursuant to Participant <br /> elections and contributions the Employer may choose to make to offset the Participant's cost of <br /> certain Qualified Benefits. The Employer may elect to pay all, part or none of the cost of each <br /> Qualified Benefit or tier within each benefit. The Employer will apply all such amounts, without <br /> regard to their source,to pay for the Qualified Benefits provided herein as soon as administratively <br /> feasible and shall comply with all applicable regulations promulgated by the DOL taking into <br /> considerations any enforcement procedures adopted by the DOL. <br /> ARTICLE VIII—CLAIM PROCEDURES <br /> The Plan has established procedures for reviewing claims denied under this Plan and those claims <br /> review procedures are set forth in the respective policies and other documents for each Qualified <br /> Benefit. The Plan's claim review process as set forth in such policies and documents shall only <br /> apply to issues germane to the pre-tax benefits available under this plan (i.e. such as a <br /> determination of a Change in Status, change in cost or coverage, or eligibility and participation <br /> matters under this Plan), and to the extent offered under the Plan, claims for benefits under the <br /> Flexible Spending Accounts. <br /> Page 10 <br />
