TERMINATION OF AGREEMENT BETWEEN <br /> SENIOR RESOURCE . ASSOCIATION, INC., <br /> INDIAN RIVER COUNTY AND VERO BEACH HOTEL AND SPA <br /> THIS TERMINATION OF AGREEMENT (Termination) entered into this day of <br /> 2017 by and between the SENIOR .RESOURCE ASSOCIATION, INC., a <br /> Florida non-profit corporation (SRA) whose address is 694 14th Street, Vero Beach, FL <br /> 32960, and INDIAN RIVER COUNTY, a political subdivision of the State of Florida <br /> (County) whose address is 1801 27th Street, Vero Beach, FL 32960, and the VERO <br /> HOTEL, LLC d/b/a Vero Beach Hotel and Spa, a Florida limited liability company (Vero <br /> Hotel) whose address is 3500 Ocean Drive, Vero Beach, FL 32963. <br /> WITNESSETH: <br /> WHEREAS, On May 17, 2015, the SRA, County and Vero Hotel (the Parties) <br /> entered into an Agreement for bus services and advertising effective July 1, 2015 which <br /> will expire on June 30, 2016; and <br /> WHEREAS, the Parties extended the Agreement on April 12, 2016, extending the <br /> term of the Agreement from July 1, 2016 through June 30, 2017; and <br /> WHEREAS, ridership has not met expectation of the parties and it is their mutual <br /> desire to terminate the Agreement and its extension. <br /> NOW, THEREFORE, in consideration of the mutual terms and promises stated <br /> herein, and other good and valuable consideration, the receipt and sufficiency of which is <br /> hereby acknowledged, the SRA, County and Vero Hotel agree as follows: <br /> 1. The foregoing recitals are incorporated as if fully restated herein. <br /> 2. The Agreement dated May 17, 2015, and the Extension thereto dated April 12, 2016, <br /> between the SRA, County and Vero Hotel is hereby terminated upon the mutual <br /> agreement of the Parties. <br /> 3.
