Workers Compensation. The Vendor shall provide, pay for, and maintain <br />workers compensation insurance on all employees, its agents or subcontractors as <br />required by Florida Statutes. <br />Professional Liability. $2,000,000.00 errors and omissions in providing professional <br />technology services. <br />INDEMNITY: Vendor to the maximum extent permitted by law, shall indemnify, defend <br />(by counsel reasonably acceptable to County) protect and hold the County, and its <br />officers, employees and agents harmless from and against any and all, claims, actions, <br />causes of action, liabilities, penalties, forfeitures, damages, losses, and expenses <br />(including, without limitation, attorneys' fees costs and expenses incurred during <br />negotiation, through litigation and all appeals therefrom) whatsoever including, but not <br />limited, to those pertaining to the death of or injury to any person, or damage to any <br />property, arising out of or resulting from (i) the failure of Vendor to comply with <br />applicable laws, rules or regulations, (ii) the breach by Vendor of its obligations under <br />this Agreement, (iii) any claim for trademark, patent or copyright infringement arising <br />out of the scope of Vendor's performance or nonperformance of this Agreement, or (iv) <br />the negligent acts, errors or omissions, or intentional or willful misconduct, of Vendor, its <br />professional associates, subcontractors, agents, and employees provided, however, that <br />Vendor shall not be obligated to defend or indemnify the County with respect to any such <br />claims or damages arising out of the County's sole negligence. <br />A. PUBLIC RECORDS COMPLIANCE: Indian River County is a public agency <br />subject to Chapter 119, Florida Statutes. The Contractor shall comply with Florida's <br />Public Records Law. Specifically, the Contractor shall: <br />(1) Keep and maintain public records required by the County to perform the service. <br />(2) Upon request from the County's Custodian of Public Records, provide the <br />County with a copy of the requested records or allow the records to be inspected or <br />copied within a reasonable time at a cost that does not exceed the cost provided in <br />Chapter 119 or as otherwise provided by law. <br />(3) Ensure that public records that are exempt or confidential and exempt from <br />public records disclosure requirements are not disclosed except as authorized by law <br />for the duration of the contract term and following completion of the contract if the <br />contractor does not transfer the records to the County. <br />(4) Upon completion of the contract, transfer, at no cost, to the County all public <br />records in possession of the Contractor or keep and maintain public records required <br />by the County to perform the service. If the Contractor transfers all public records to <br />the County upon completion of the contract, the Contractor shall destroy any <br />duplicate public records that are exempt or confidential and exempt from public <br />records disclosure requirements.
