(b) Provide Project designs to the County for approval, which approval will <br />not be unreasonably withheld, unreasonably conditioned or unreasonably delayed and <br />obtain all necessary permits, licenses, and other approvals for the prosecution of the <br />Projects; <br />(c) Solicit bids from qualified contractors licensed in the State of Florida and <br />submit the bids to the County for its review and approval, which approval will not be <br />unreasonably withheld, unreasonably conditioned or unreasonably delayed; <br />(d) Engage in value engineering with the County if necessary to achieve <br />project economies and efficiencies; <br />(e) Be responsible for the completion of all work necessary to complete the <br />Projects, and, subject to reimbursement eligibility under this Article VIII, be fully <br />responsible for the payment of all moneys due to any contractor or subcontractor <br />performing the work in accordance with the Florida Prompt Payment Act; <br />(f) Comply with all applicable federal, state, and local rules and regulations in <br />completing the Projects. Verotown acknowledges and agrees that this requirement <br />includes compliance with all applicable federal, state, and local health and safety rules <br />and regulations, including, but not limited to (i) the Occupational Safety and Health Act, <br />29 CFR 1910 and 1926, respectively, General Industry Standards and Construction <br />Industry Standards, including regulations regarding Trenching and Shoring; (ii) the <br />Florida Workers' Compensation Law, Chapter 440, Florida Statutes; (iii) Rules 38F and <br />381, Florida Administrative Code; and (iv) Florida Department of Transportation Manual <br />of Traffic Control and Safe Practices; <br />(g) Provide the County public performance and payment bonds in the amount <br />of one hundred percent (100%) of the estimated construction cost of each Project, which <br />bond(s) shall meet the requirements of Section 255.05, Florida Statutes. Such bond(s) <br />shall be written by a surety licensed to do business in the State of Florida and otherwise <br />acceptable to the County; provided, however, that the surety shall be rated as "A-1" or <br />better as to general policy holders rating as reported in the most current Best Key Rating <br />Guide, published by A.M. Best Company, Inc. Such bond(s) shall be recorded in the <br />Public Records of Indian River County, Florida, by Verotown prior to the <br />commencement of any such work on any Project; <br />(h) Require that all contractors or subcontractors for the Projects maintain <br />commercially reasonable insurance and cause the County, the MLB Entities and <br />Verotown to be named as additional insureds on all required policies, except worker's <br />compensation; <br />(i) Require all contractors and subcontractors to indemnify and hold harmless <br />the County, MLB Entities and Verotown and its officers, and agents, directors, and <br />employees; <br />25 <br />
