(j) Require an agreement with all contractors and subcontractors representing <br />that the County and Verotown are third -party beneficiaries of the contract, entitled to <br />enforce any rights thereunder for their respective benefits, and that, subject to the terms <br />of the applicable contract, the County and Verotown shall have the same rights and <br />remedies vis-a-vis such contractors and subcontractors that the other party has including, <br />without limitation, the right to be compensated for any loss, expense or damage of any <br />nature whatsoever incurred by the County (or Verotown, as applicable), resulting from <br />any breach of such contract, any breach of representations and warranties, if any, implied <br />or expressed, arising out of such agreements and any error, omission or negligence of <br />such contractor or subcontractor in the performance of any of its obligations under such <br />contract; <br />(k) Obtain prior County approval, not to be unreasonably withheld, <br />unreasonably conditioned, or unreasonably delayed for any change orders on the Projects <br />that would amend the scope or quality of the Project, the time for completion of the work, <br />or the amount of compensation due for the work; <br />(1) Plan, organize, supervise, monitor, direct, and control the work on the <br />Projects to ensure that it is done competently and efficiently and in accordance with the <br />design and budget and protect the work from loss due to weather, theft, or other cause. <br />Neither the County nor County Funds shall be used to pay any Project costs to the extent <br />that they directly arise from the negligence or willful misconduct of Verotown after the <br />Effective Date; <br />(m) Employ adequate safety precautions to prevent damage, injury or loss to <br />personnel, the work, the Projects, the Facility and other property at the Facility or <br />adjacent thereto; <br />(n) Provide the County with copies of all Project files, reports, warranties, <br />design documents and as-builts and assign all warranties to the County, which shall <br />include a minimum one-year warranty that the Projects and any materials and equipment <br />furnished thereunder shall be of good quality, free of all defects and in conformance with <br />the approved design; <br />(o) Allow the other party reasonable access to the Projects for observation, <br />inspection, and testing; and <br />(p) Manage the appropriately licensed contractors to ensure that any work not <br />conforming to the Project designs and requirements is corrected or removed and replaced. <br />26 <br />
