(8) a detailed description of the potential risks associated with the Deployment and <br />the risk management, mitigation and control strategies that will be used by <br />National to eliminate or minimize such risks; <br />(9) a detailed description of the process National will use to resolve or settle third - <br />party claims; <br />(10) any other information or planning necessary to ensure that the Deployment <br />takes place on schedule and without disruption to IRC's business. <br />5.03 Preparation and Completion of Deployment Schedule. <br />(1) National shall be responsible for preparing and maintaining the Deployment <br />Schedule. The current draft of the Deployment Schedule as of the Effective Date <br />is attached as Exhibit 1, Section 8. Within 30 days of the Effective Date, National <br />shall revise and finalize the Deployment Schedule, and provide it to IRC for IRC's <br />review and comment. All revisions proposed by National after the Effective Date <br />shall be for the purpose of adding additional detail and shall be consistent with <br />the terms and conditions in this Contract. IRC shall provide its comments in <br />writing within 15 days after receiving the Deployment Schedule. Thereafter, <br />National shall cooperate and work closely with IRC in finalizing the Deployment <br />Plan, including incorporating IRC's reasonable comments, and working with IRC <br />to resolve any matter with respect to which the Parties are not in agreement. If <br />IRC does not approve the final Deployment Schedule, it shall state in writing its <br />reasons for such disapproval, and the Parties shall work together to resolve the <br />disputed matters in accordance with Article 25. To the extent that any <br />disapproval is based upon what IRC in good faith believes to be inconsistencies <br />between the National -proposed changes and the terms and conditions in this <br />Contract, such disapproval shall conclusively be deemed reasonable and IRC shall <br />not be acting in bad faith if it declines to agree to such changes or to <br />compromise its position. <br />(2) Any subsequent changes to the Deployment Schedule shall be made in <br />accordance with the Change Control Procedures set forth in Section 17.03. <br />(3) At least once each quarter beginning in the first full calendar quarter after the <br />final Deployment Plan is approved, National shall submit a revised Deployment <br />Schedule reflecting all changes made in accordance with the Change Control <br />Procedures and any other agreed-upon change. <br />5.04 National's Performance. National shall perform the Deployment in accordance <br />with the Deployment Plan and in such a manner so as to not disrupt IRC's business operations <br />(except to the extent that National has provided IRC with reasonable advance written notice of <br />such disruption and IRC has agreed in writing that such disruption is acceptable). National shall <br />provide all cooperation and assistance reasonably required and requested by IRC in connection <br />with IRC's evaluation of the Services. <br />13 <br />
