13.04 Subcontractors. Prior to subcontracting any of the Services, National shall notify IRC of <br />the proposed subcontract and shall obtain IRC's written approval of such subcontract. Prior to <br />amending, modifying or otherwise supplementing any subcontract relating to the Services, <br />National shall notify IRC of the proposed amendment, modification or supplement and shall <br />obtain IRC's written approval thereof. <br />(1) No subcontracting arrangement shall release National from its responsibility for <br />its obligations under this Agreement. National shall be responsible for the work <br />and activities of each of its subcontractors, including compliance with the terms <br />of this Agreement. National shall be responsible for all payments to its <br />subcontractors. <br />(2) National shall promptly pay for all services, materials, equipment and labor used <br />by National in providing the Services and shall indemnify IRC from, and defend <br />IRC against, any liabilities or expenses (including reasonable attorneys' fees and <br />expenses) connected with National's failure to promptly pay for such services, <br />materials, equipment or labor and shall keep the IRC premises free of all liens. <br />13.05 Conduct of National Personnel. While in performance of Services, National and <br />National Agents shall (1) comply with the requests, standard rules and regulations of IRC and <br />IRC customers regarding safety and health, personal and professional conduct (including the <br />wearing of a particular uniform, identification badge or personal protective equipment and <br />adhering to facility regulations and general safety practices or procedures), including those IRC <br />policies and procedures, and (2) otherwise conduct themselves in a businesslike manner. <br />National shall cause the National Personnel to maintain and enforce the confidentiality <br />provisions of this Agreement. If IRC determines that a particular member of the National <br />Personnel is not conducting himself or herself in accordance with this Section, IRC may notify <br />National of such conduct. Upon receipt of such notice, and provided that immediate removal of <br />the applicable person would not be required under Section 8.03(4), National shall promptly <br />investigate the matter and take appropriate action which may include (a) removing the <br />applicable person from the IRC account and providing IRC with prompt notice of such removal <br />and replacing the applicable person with a similarly qualified individual or (b) taking other <br />appropriate disciplinary action to prevent a recurrence. In the event of a violation of Section <br />8.03 by a particular member of the National Personnel, National shall promptly remove the <br />individual as set forth in (a) in the preceding sentence. In the event of repeat violations of this <br />Section by a particular member of the National Personnel, National shall promptly remove the <br />individual from the IRC account as set forth in (a) above; provided, however, that any <br />disagreement between IRC and National in respect of any such repeat violations shall be <br />resolved in accordance with Article 25. <br />ARTICLE 14.
