re -assigned until a suitable replacement has been approved by IRC, and no such <br />transfer shall occur at a time or in a manner that would have an adverse impact <br />on delivery of the Services. <br />13.03 Qualifications, Retention and Replacement of National Personnel. <br />(1) National shall assign an adequate number of National Personnel to perform the <br />Services. National Personnel shall be properly educated, trained and qualified <br />with respect to the Services they are to perform. National acknowledges and <br />agrees that it shall be the responsibility of National to provide adequate levels of <br />training and education so that the National Personnel remain current as to <br />recent developments in meter deployment and installation practices, methods, <br />techniques, tools and processes and any other industry and technology <br />developments that are necessary for such National Personnel to properly <br />perform the Services. IRC shall not be required to pay to train or educate any <br />National Personnel. <br />(2) National shall provide IRC with a list of all National Personnel dedicated full-time <br />to providing the Services (a) at the end of every calendar month until completion <br />of Services in Exhibit 1, and (b) upon the occurrence of any change in such <br />National Personnel. <br />(3) All National Personnel shall (a) report for work in a manner fit to do their job, (b) <br />not be under the influence of or in possession of any alcoholic beverages or of <br />any controlled substance (except as prescribed by a physician so long as the <br />performance or safety of the work is not affected thereby) and (c) not have been <br />convicted of any serious criminal offense which may have a discernible adverse <br />impact on IRC. <br />(4) National will be solely responsible for compliance with immigration and visa <br />Laws and requirements in respect of the National Personnel. National <br />represents and warrants that all non -United States citizens who are assigned by <br />National or National Agents to perform the Services within the United States (a) <br />will hold appropriate and valid visas or other work authorizations, and (b) will <br />not be provided by National with any technology or information in violation of <br />any Laws applicable to National in the provision of the Services. <br />(5) National agree that it is in their best interests to keep the attrition rate of <br />National Personnel to a reasonably low level. National shall use commercially <br />reasonable efforts to keep such attrition rate to a reasonably low level. <br />Notwithstanding transfer, attrition or other turnover of National Personnel, <br />National remains obligated to perform the Services without degradation and in <br />accordance with the terms of this Agreement. <br />(6) In the event that IRC determines in good faith that the continued assignment to <br />IRC's account of any of the National Personnel is not in the best interests of IRC, <br />then IRC shall give National written notice to that effect and National shall <br />replace that person with another person of suitable ability and qualifications. <br />22 <br />
