for damages, damage to property including IRC 's property, and injury or death of any person whether
<br />employed by TPA, IRC or otherwise.
<br />TPA's obligation to hold harmless and defend an indemnitee with respect a claim, judgment, cost, or
<br />expense resulting from bodily injury, personal injury, or damage to tangible property, caused in whole
<br />or in part by TPA, its agents, servants or employees, shall apply whether or not the claim, judgment,
<br />cost, or expense is due to or caused in part by the negligence or other culpability of the indemnitee,
<br />excluding only the sole negligence or other sole culpability of the indemnitee.
<br />Except with respect to a claim, judgment, cost, or expense resulting from bodily injury, personal
<br />injury, or damage to tangible property, caused in whole or in part by TPA, its agents, servants or
<br />employees, TPA shall indemnify, hold harmless and defend an indemnitee to the extent the claim,
<br />judgment, cost, or expense results from the negligence or other culpability of TPA, its agents,
<br />servants or employees.
<br />Any remedy provided to an indemnitee by this Section shall be in addition to and not in lieu of any
<br />other remedy available to the indemnitee under this Agreement or otherwise.
<br />This section will survive the termination of this Agreement regardless of the cause giving rise to such
<br />termination.
<br />IRC agrees to indemnify, defend and hold TPA harmless to the extent allowed by Section 768.28 of
<br />Florida Statutes for any action resulting from TPA acting at the direction of IRC.
<br />4.7 TPA Insurance Requirements. Prior to commencement of services under this Agreement,
<br />TPA shall obtain and maintain without interruption until completion of all services required under this
<br />Agreement, the insurance as outlined below. TPA agrees to furnish a fully completed certificate of
<br />insurance naming IRC and its members, officers, employees, and agents as additional insured on the
<br />General Liability insurance, signed by an authorized representative of the insurer providing such
<br />insurance coverages. The insurance coverages and limits shall meet, at a minimum, the following
<br />requirements:
<br />4.7.1 Workers' Compensation/Employer's Liability Insurance. Such insurance shall be
<br />no more restrictive than that provided by the Standard Workers' Compensation Policy, as filed
<br />for use in Florida by the National Board on Compensation Insurance, without restrictive
<br />endorsements. The minimum amount of coverage (inclusive of any amount provided by an
<br />umbrella or excess policy) shall be:

<br />$ 1,000,000 Disease - Policy Limit
<br />$ 1,000,000 Disease - Each Employee
