Final Version <br />permits. <br />D. District shall cooperate with Company as the Company seeks to obtain <br />County Government permits. <br />E. District is responsible for the disposal of Condensate generated by the <br />District LFG Assets up to the Delivery Point. <br />F. Notwithstanding the foregoing, the District shall control and be responsible <br />for the operation and maintenance of the District LFG Assets located between the <br />Landfill and the Delivery Point. <br />G. Notwithstanding anything in this Agreement to the contrary, it is understood <br />and agreed by the Company that the District has no obligation to accept solid waste or <br />to implement any expansions of the Landfill. <br />H. The District is responsible to manage leachate in the LFG collectors, as <br />necessary, to comply with all permits related to the landfill and the LFG collection <br />system. <br />I. The District is responsible to maintain the pollution destruction devices <br />(i.e., the District's flare or any replacement thereof) as necessary to maintain its permits <br />during periods of time that the Facility is not accepting all of the LFG produced by the <br />Landfill. <br />3.2 Company Responsibilities and Obligations. <br />A. Subject to the other conditions contained herein, Company shall accept and <br />use up to 1,600 SCFM of Acceptable LFG that is produced by the Landfill and <br />delivered to the Delivery Point subject to the terms and conditions hereof. <br />B. Company shall be responsible, at its own cost, for the design, permitting, <br />construction, connection, operation, maintenance, repair, and replacement of any <br />capital improvements and equipment that needs to be added to the District's existing <br />LFG collection and flare system to (i) enable Company to divert LFG from the <br />District's flare and transport such gas via pipeline to the Facility, (ii) enable reliable <br />destruction of excess LFG simultaneous with the Company's beneficial use of some of <br />the LFG and (iii) enable the reliable delivery of the LFG for Company's use. The exact <br />location of any such improvements on the District's property and the general <br />components of any necessary interconnection equipment and facilities shall be <br />mutually agreed upon by Company and District prior to the commencement of <br />construction. District shall provide Company with the necessary access, including <br />easements as necessary, to the LFG system equipment located on the District's property <br />for the purpose of allowing Company to perform its obligations under this Agreement. <br />C. On or before the LFG Commencement Date, Company shall install all of <br />7 <br />
