A maximum of six (6) members in attendance of currently appointed or half of the voting Board of Directors (whichever is the lesser number) shall constitute a quorum for the transaction of business. County representatives and Emeritus shall not be counted in determining a quorum. The vote of a majority of Directors in which a quorum is present shall constitute the action of the Board of Directors. 4. Please explain the rotating volunteer structure of your Board members and officers. The Trustees shall hold office for a term of three (3) years and until such time as their successors shall have been elected. If deemed appropriate by the Board, a Trustee may be recommended to serve additional three (3) year terms. Officers, who must be Trustees in good standing, shall be elected by a majority vote of the Trustees of the Corporation present at the designated Board meeting. Officers shall consist of President, Vice President, Secretary, Treasurer and such other officers as shall be deemed appropriate by the Board of Trustees. Emeritus or Ex -officio members mentioned in Article II may not be officers of the Corporation. Term of Office and Election. The term of office for Officers shall be two (2) years. Officers shall be elected by a majority vote of the Board of Trustees present at the Annual meeting.
