resignation of any Trustee appointed by such association. The <br />powers of the Board to act shall not be impaired or limited in any <br />way -pending the appointment of a successor Trustee to fill any <br />vacancy. <br />SECTION 3.03. BOARD MEETINGS. <br />(A) Notwithstanding any other provisions of this Agreement <br />to the contrary, meetings of the Board of Trustees shall be <br />governed by the substantive provisions of Section 286.011, Florida <br />Statutes, as the same may hereafter be amended and supplemented, <br />and any subsequently enacted statute succeeding to the functions <br />of Section 286.011. The Trustees hereby individually and <br />collectively agree to comply with the provisions thereof. <br />(B) The.annual meeting of the Board shall be held at such <br />times and at such places as determined periodically by the Board. <br />(C) Special meetings of the Board may be called by the <br />Chairman and in his or her absence by the Vice -Chairman, or by any <br />three Trustees. By unanimous consent of all of the Trustees, <br />special meetings of the Board may be held without written notice <br />at any time and place; otherwise, notice of all special meetings <br />of the Board shall be mailed to each Trustee at least ten days <br />prior to the time fixed for the meeting. The Administrator shall <br />receive notice of all meetings. All notices of special meetings <br />of the Board shall state the purpose thereof. <br />(D) To the extent permitted by Section 286.011, Florida <br />Statutes, telephonic regular or special meetings by conference call <br />j or other method of electronic voice transmission which permits each <br />participant to hear every other participant and join in the <br />discussion are specifically authorized. <br />i <br />(E) To the extent permitted by Section 286.011, Florida <br />Statutes, in the event all of the Trustees shall severally or <br />collectively consent in writing to any action taken or to be taken <br />by the Trust, such action is a valid action as though it had been <br />authorized at a formal meeting. <br />(F) The Board shall meet not less than semiannually. <br />t <br />i; (G) Absence of any Trustee for three consecutive meetings in <br />a year without justification, excuse or good cause shall be deemed <br />a resignation by such Trustee and the organization responsible for <br />such Trustee's appointment may declare vacant the position, which <br />shall be filled in the manner indicated above. <br />1' SECTION 3.04. QUORUM AND VOTING. A quorum for the <br />transaction of business at any regular or special meeting of the <br />#` Board shall consist of a majority of the Trustees then in office, <br />but shall never be less than four Trustees;,provided however, that <br />10 <br />
