provisions of this Agreement. Such conveyance shall take <br />effect at the time Service <br />acceptance. <br />Company issues its final letter of <br />As further evidence of said transfer <br />upon the completion <br />issuance <br />of title, <br />of the installation, but <br />of <br />service by Service <br />prior to the <br />the final letter of acceptance and the rendering of <br />Company, Coralstone shall: I. <br />(a) <br />Convey to Service Company, by notarized bill of <br />sale in <br />form satisfactory to Service Company's <br />counsel, the off-site Systems listed in <br />• <br />Exhibit <br />"C" and constructed by Coralstone as approved by <br />Service <br />Company. <br />(b) <br />Provide Service Company with copies of invoices <br />from contractors and from <br />0 • <br />suppliers of materials <br />for installation of the off-site <br />Systems being <br />dedicated to Service Company, including engineer- <br />ing design inspection <br />and fees•so paid. <br />(c) <br />Furnish proof satisfactory to the Service Company <br />that all <br />contractors, subcontractors, material - <br />men, laborers and <br />engineers involved with the <br />installation of the off-site <br />Systems have been <br />paid in full (i.e., by release of lien <br />or other <br />appropriate means). <br />(d) <br />Warrant to Service Company that the off-site <br />System installed by Coralstone <br />has been <br />constructed in accordance with the <br />approved plans <br />and specifications and is in compliance with all <br />governmental and regulatory agency laws, rules <br />and regulations, and that <br />the off-site System was <br />constructed in a good and workmanlike <br />manner. <br />(e) <br />Warrant and/or guaranty all off-site Systems <br />being dedicated to <br />Service Company against faulty <br />workmanship and defective materials for <br />a period <br />Of one (1) year from the date of Service <br />Company's final letter <br />of acceptance. Also, <br />Coralstone shall assign any and all <br />warranties <br />and/or maintenance bonds and the rights to <br />enforce <br />same to the Service Company which <br />Coralstone obtains from <br />any contractor <br />constructing the off-site Systems. Coralstone <br />shall <br />remain secondarily liable on such <br />warranties. If Coralstone does <br />not obtain such <br />written warranty and/or maintenance bond from its <br />contractor and deliver same to Service Company, <br />which <br />warranty and/or maintenance bond shall be <br />for <br />a minimum period of one (1) year, then in <br />such event, Coralstone, by the terms <br />of this <br />Agreement, covenants to indemnify and save <br />harmless the Service Company for any loss, <br />damages, <br />costs, claims, suits, debts or demands <br />by reason of defects in the off-site <br />Systems for <br />a period of one year from the date of the final <br />letter of <br />acceptance by the Service Company. <br />Furthermore, Coralstone <br />warrants that the <br />"as -built" plans submitted to Service Company are <br />true and correct representations of the quantity <br />and location of facilities <br />built by Coralstone in <br />accordance with this Agreement and further <br />warrants that the installation of the off-site <br />Systems are all in <br />accordance with the plans and <br />specifications submitted to Service <br />Company; <br />which latter warranties are not limited to <br />one <br />year, but are continuing warranties of Coralstone <br />to Service Company. <br />1 <br />l <br />
