Brown & Sons Incorporated (the "Underwriter"), hereby <br />offers to enter into this Bond Purchase Agreement with Indian <br />River County, Florida (the "Issuer") and with Florida <br />Convalescent Centers, Inc. (the "Borrower") and National <br />HealthCorp L.P. ("NHC") for the purchase by the Underwriter of <br />the issue of bonds specified below. This offer is made subject <br />to acceptance by the Issuer prior to 5:00 p.m., local time in <br />Baltimore, Maryland, on the date hereof and, upon such <br />acceptance, this Bond Purchase Agreement shall be in full force <br />and effect in accordance with its terms and shall be binding <br />upon the Issuer, the Underwriter, the Borrower and NHC. If <br />this offer is not so accepted, it is subject to withdrawal by <br />the Underwriter upon written notice delivered to the Issuer, <br />NHC and the Borrower at any time prior to such acceptance. <br />1.
