If to Customer: University of South Florida <br />4202 East Fowler Ave — SVC <br />4010 Tampa, FL 33620 <br />Attention: Carl Smith <br />Telephone: (813) 974-1047 <br />Email: techcontracts(a,usf.edu <br />With a copy to: Lori Stevens <br />(813)974-6627 <br />itpurchasingga usf.edu <br />Invoices are not considered notices under this Agreement and are governed by provisions <br />relating specifically thereto. <br />GEN 1.6 Mutual Responsibilities <br />Each party agrees: <br />a. that neither party grants the other party the right to use its trademarks, trade dress, <br />service marks, trade names, or other designations in any promotion or publication; <br />b. each party grants the other only the licenses and rights explicitly set forth herein or <br />in an Order and no other licenses or rights (including licenses or rights under <br />patents, copyrights or other intellectual property) are granted; and <br />C. unless otherwise set forth in an Order, in the event of a disassociation of a Direct <br />Support Organization, Customer shall notify Xerox in writing and such <br />disassociated Direct Support Organization will not be allowed to enter into <br />subsequent or new Orders; however, Products installed or Services being provided <br />to such disassociated entity under an existing Order shall retain the pricing and <br />terms and conditions thereof until the Order's initial term expires. <br />GEN 1.7 Customer Responsibilities <br />Customer agrees to perform its responsibilities under this Agreement and the applicable <br />Order in support of the Services or Products in a timely manner. Customer agrees: <br />a. that Products acquired hereunder are ordered for Customer's own business use <br />(rather than resale) and will not be used for personal, household or family purposes; <br />b. to provide Xerox with timely and sufficient access to Customer Facilities, including <br />network access where reasonably required, for Xerox to fulfill its obligations and <br />provide Services or Products under an Order and to ensure that Customer Facilities <br />are safe for Xerox personnel to work in and fully comply with all applicable laws <br />and regulations; <br />C. to permit Xerox to use or access Customer Assets, in each case as needed by Xerox <br />to perform Services or provide Products under an Order, and will grant Xerox <br />sufficient rights to use, access and, if agreed, modify the same; <br />d. to bear the costs of providing access to and use of the Customer's Facilities and <br />Customer Assets, without charge to Xerox; <br />FL -University of So.
