Remote Data Access via a method prescribed by Xerox and Customer will provide Xerox <br />with reasonable assistance to allow Xerox to have Remote Data Access. Unless Xerox <br />deems Equipment incapable of Remote Data Access, Customer will ensure that Remote <br />Data Access is maintained at all times Maintenance Services are being performed. <br />EQP 1.9 Data Security <br />Certain models of Equipment can be configured to include a variety of data security <br />features. The selection, suitability and use of data security features are solely Customer's <br />responsibility. Upon request, Xerox will provide additional information to Customer <br />regarding the security features available for particular Equipment models and costs <br />associated with such features. <br />EQP 1.10 Supplier Equipment Provided with Services <br />In the event that, other than through outright purchase, Xerox provides Supplier Equipment to <br />Customer in connection with the provision of Services, the following terms shall apply unless <br />otherwise specified in an Order: <br />a. Xerox (or the applicable third party vendor) shall at all times retain title to the <br />Supplier Equipment provided as part of the Services. Customer will be responsible <br />upon delivery for the risk of loss or damage of Supplier Equipment when such loss <br />or damage is due to fire, theft, or disappearance, or willful misconduct, or the <br />negligence of its employees acting within the scope of their employment. The full <br />risk of loss for Supplier Equipment provided to a Non -Affiliated Eligible Entity <br />shall pass to the Non -Affiliated Eligible Entity upon delivery to the Non -Affiliated <br />Eligible Entity's Facility. <br />b. Customer agrees to use the Supplier Equipment in accordance with, and to <br />perform, all operator maintenance procedures for the Supplier Equipment described <br />in the applicable manuals and Documentation provided by Xerox. Customer shall <br />not (unless the Supplier Equipment is Purchased Equipment, and then only with <br />Xerox's prior consent): <br />i. sell, charge, let or part with possession of the Supplier Equipment; <br />ii. remove the Supplier Equipment from the Customer's premises in which it is <br />installed; or <br />iii. make any changes or additions to the Supplier Equipment. <br />C. Equipment is ordered for a minimum order period (as specified in the applicable <br />Order) and on the basis that the Equipment will be subject to the Services for that <br />minimum order period. If Equipment is terminated for any reason before the end of <br />its minimum order period, the termination charges as set out in the applicable Order <br />for such Equipment (plus applicable Transaction Taxes) shall apply. <br />d. At the end of the Order term, unless Customer opts to purchase the Equipment <br />(where such option is available as set forth in the applicable Order), Customer shall <br />work with Xerox to schedule the return of the Equipment, together with any related <br />Software, to Xerox. At the time of removal, the Equipment (and related Software) will <br />be in the same condition as when delivered, reasonable wear and tear excepted. <br />e. Unless Customer provides notice in writing at least ninety (90) days before the end <br />of the lease term of its intention not to renew, the Order for such Leased Equipment <br />will continue automatically on a month-to-month basis on the same terms and at the <br />same price. <br />f. Except as expressly provided herein and as permitted by applicable law, Customer <br />waives all rights and remedies conferred upon a lessee by Article 2A of the Uniform <br />Commercial Code. <br />FL -University of So.
