EXHIBIT A <br />Optional Additional Services <br />The following is a list of optional additional services that Everside may provide at Client's <br />request and subject to applicable law. Everside shall have the sole discretion to remove, replace, <br />add, or otherwise make changes to this Exhibit A at any time, with the least amount of disruption <br />to Client's services. If additional services are needed which are not anticipated in the original <br />scope, they will be outlined in an amendment. <br />1. Collective Terms and Conditions. The following terms and conditions apply to each and <br />every one of the optional additional services. <br />a. Implementation. Elected services shall commence on a date to be mutually agreed <br />by the parties, and subject to Everside's ability to ensure adequate staffing. <br />b. Invoicing. Everside shall bill Client pursuant to the terms of the Agreement. <br />c. Mutual Termination. Either party may terminate any one or all of the optional <br />additional services upon 90 days' advance written notice to the other party, or by <br />other means described in the Agreement. Upon such termination, Client shall pay <br />Everside for all services rendered and any reimbursable expenses incurred up to <br />and including the effective date of termination. <br />d. Reporting. As applicable to the elected service, Everside will provide an annual <br />outcomes and utilization report with de -identified client -level data, if feasible. <br />Client -level data will not be made available if the number of individuals enrolled <br />increases the risk of individual identification of patients. No Protected Health <br />Information about any participant may be released to Employer in any report unless <br />such participant has provided his or her prior written authorization or such <br />information is released in accordance with HIPAA (ex. To the minimum extent <br />necessary, when identification is needed for the individual to receive a wellness <br />program incentive tied to this program). <br />2. Optional Additional Services. The following optional additional services may be elected <br />upon mutual agreeance in writing by the parties, subject to additional fees, terms and <br />conditions: <br />a.
