IGM <br />offered positions to those workers at comparable or higher salaries <br />but without the benefit package provided by Brevard County. They <br />did retain several of the employees and they are still employed as <br />of this day. Mr. Zakani stressed that it is not like they are <br />going to go out and chop the block and start all over. It doesn't - <br />happen that way. IGM will give them first opportunity and <br />interview everybody on an individual basis. If they fall within <br />the parameters of the budget allocations, then they will be offered <br />positions. <br />Mr. Scott advised that the union plans to unionize IGM in the <br />future and labor unrest with a private firm could result in a shut- <br />down of the golf course. <br />Commissioner Macht inquired about the contract terms contained <br />in the last sentence of Section 12 - Force Majeure: <br />SECTION 12. FORCE MAJEURE. <br />The Firm shall not -be responsible for damages or delays in performance caused by acts of <br />God, strikes, lockouts or other events constituting force majeure beyond the reasonable control of <br />the Firm. <br />Commissioner Macht also questioned language contained in <br />Section 13 - Termination regarding the notice of termination as a <br />result of failure of IGM to fulfill its duties and obligations: <br />SECTION 13. TERM NATION. <br />The County may, by one hundred and twenty (120) days prior written notice to the Firm, <br />terminate this Agreement, in whole or in part, for the County's convenience. Upon expiration of the <br />120 days notice, the Finn shall immediately discontinue all services affected, unless the notice directs <br />otherwise. <br />If the termination is for the convenience of the County. The County shall not be obligated <br />to pay for any services performed after the expiration of the 120 days has been given unless the <br />County specifically directs and advises otherwise in this notice and such shall be based on the <br />percentage or work performed. <br />The County may issue a written proposed notice of termination as a result of failure of the <br />Firm to fulfill its Agreement duties and obligations.
