6.06 Mechanic's Liens: <br />(a) Tenant hereby completely and fully indemnifies Landlord, and agrees to defend <br />(with counsel acceptable to Landlord) and hold Landlord harmless from and against, any <br />mechanic's lien or other lien or claim in connection therewith <br />(b) No liens shall be filed against the Leased Premises for any work performed as <br />the Landlord is a governmental entity. <br />(c) If the laws of the State of Florida provide a procedure for the limitation of the <br />right of any contractor, subcontractor or materialman to file a lien against the Leased Premises <br />for work performed, such as, but not limited to, the filing of the construction contract or <br />performance or payment bond, Tenant shall, prior to the making of any alterations, additions or <br />improvements to the Leased Premises, cause such procedure to be complied with. <br />6.07 Compliance. Tenant shall, throughout the Term, at Tenant's sole cost and expense, <br />promptly comply with all Laws and Recorded Agreements and the recommendations or <br />requirements of all insurance companies, relating to the Leased Premises, the use thereof the <br />sidewalks, parking areas, curbs and access ways adjoining the Leased Premises. Without limiting <br />the generality of the foregoing. Tenant shall keep in force all licenses, consents and permits <br />necessary for the lawful use and occupancy of the Leased Premises for the Authorized Use and <br />Tenant shall pay all personal property taxes, income taxes, license fees, and other impositions <br />which are or may be assessed, levied or imposed upon Tenant in connection with Tenant's use and <br />operation of its business at the Leased Premises. <br />SECTION 7 <br />TAXES <br />7.01 Personal Property Taxes. Tenant shall pay all personal property and non -ad valorem <br />taxes levied by any Governmental Authority with respect to Tenant's property located on the <br />Leased Premises. Tenant shall pay all sales taxes levied by any Governmental Authority with <br />respect to the Leased Premises and/or Rent payable under this Lease, and hold the Landlord <br />harmless with respect thereto. <br />SECTION 8 <br />Indemnity and Insurance <br />8.01 Indemnity and Release. <br />(a) Indemnification by Tenant. Tenant agrees to indemnify, defend (with counsel <br />acceptable to Landlord) and save harmless Landlord. from and against any and all claims by or on behalf <br />of any party arising from the occupancy, conduct, operation or management of the Leased Premises or <br />from any work or thing whatsoever done on or about the Leased Premises or the Center, or arising from <br />any breach or default on the part of Tenant pursuant to the terms of this Lease, or under the provisions <br />of any Law, or arising from any act, neglect or negligence of Tenant, or any of its agents, contractors, <br />servants, employees, or licensees, or arising from any accident, injury or damage whatsoever caused to <br />any party, occurring during the Term, in or about the Leased Premises or the Center or any part thereof, <br />and from and against all costs, expenses and liabilities incurred in connection with any such claim or <br />action or proceeding brought thereon (including, without limitation, the fees of attorneys, investigators <br />and experts); and in case any action or proceeding be brought against Landlord by reason of any such <br />15 <br />
