C� <br />7. Security Title <br />Security title and right of possession without legal process of the Products <br />sold hereunder shall remain with the Seller until all payments hereunder shall <br />have been indefeasibly made in cash and the Buyer agrees, upon request <br />from Seller, to do all acts necessary to perfect and maintain such right and <br />security. In particular, Buyer grants and assigns to Seller a first priority <br />security interest in and to all Products (including all PRS Manufactured <br />Products) as security for all obligations and liabilities of Buyer to Seller in <br />connection with this Contract (and any supplements hereto which may arise <br />at any time in connection with the Buyer's System), and Buyer shall execute <br />and delivery to Seller such UCC financing statements and other documents <br />as may be necessary or requested by Seller to perfect or further secure such <br />collateral. Seiler shall have all of the rights and remedies of a secured party <br />under the Uniform Commercial Code as applicable in Virginia. <br />8. Delays <br />Seller shall not be liable for delays in delivery or performance or for failure to <br />manufacture or deliver or perform due to: (i) causes beyond its reasonable <br />control, or (ii) acts of God, acts of Buyer, acts of civil or military authority, <br />governmental priorities, strikes or other labor disturbances, floods, <br />epidemics, war, riot, delays in transportation or car or other transport <br />shortages, or (iii) inability on account of causes beyond the reasonable <br />control of Seller or its vendors or suppliers to obtain necessary materials, <br />components, services, or facilities including Vendor Replacement Products <br />and other Products; or (iv) the failure of any Excluded Products or Vendor <br />Products or any interactive Systems linked to Buyer's System or other <br />property or systems relied upon by Buyer, to be Year 2000 Ready or for <br />other factors beyond Seller's reasonable control, including the failure of any <br />supporting or related system or function which may adversely affect Buyer's <br />System or Seller's Products. In the event of any such delay, the date of <br />delivery or of performance shall be extended for a period which is equitably <br />sufficient or mutually agreed to place Seller in the same position as <br />performance without such delay; provided, however, that the minimum <br />amount of such extension shall be at least equal to the time lost by reason of <br />the delay- <br />0vjAgal,Ccrttaatt'YMConuac%domrstic r, -d vcrMOO +Inc K <br />4.`%au^x254m <br />
