Agreement <br />THIS AGREEMENT is by and between INDIAN RIVER COUNTY, a Political Subdivision of the State of Florida organized <br />and existing under the Laws of the State of Florida, (hereinafter called Owner) and Gerelcom, Inc. (hereinafter called <br />Contractor). Owner and Contractor, in consideration of the mutual covenants hereinafter set forth, agree as follows: <br />ARTICLE 1 - WORK <br />Contractor shall complete all Work as specified or indicated in the Contract Documents. The Work is generally <br />described as follows: <br />Fiber Optic Engineering, Design, Material, Supplies and Installation <br />ARTICLE 2 - THE PROJECT <br />The Project for which the Work under the Contract Documents may be the whole or only a part is generally described <br />as follows: <br />Project Name: Annual Bid for Fiber Optic Engineering, Design, Material, Supplies and Installation <br />Bid Number: 2023056 <br />Project Address: Various throughout Indian River County <br />ARTICLE 3 - TERM <br />The term of the agreement is one year, with four additional one-year extensions available, subject to mutual <br />agreement and determination that extension is in the Owner's best interest. Extensions will be offered 90 days prior <br />to the end of the current contract term. <br />ARTICLE 4 - CONTRACT PRICE <br />4.01 Work shall be completed at the prices provided in the Contractor's bid, attached hereto as Exhibit 2. Where <br />demonstrated to the County's satisfaction, unit prices may be adjusted annually by the Consumer Price Index -All <br />Urban Consumers for the South Region ("CPI -U, South Region"), or in rare cases by extreme fluctuations in <br />manufacturers' pricing (e.g. rapid run-up in price of copper). Any change to unit prices must be requested in <br />writing, and with sufficient supporting documentation, no less than 60 days in advance of the proposed effective <br />date, and must be approved by amendment to this agreement. The County will not unreasonably withhold <br />approval of such increases that can be adequately verified. <br />4.02 Whenever the term "Work Authorization" is used herein, it is intended to mean that formal document that <br />is dated; serially numbered; and executed by the Owner, by which the Owner accepts Contractor's proposal for <br />specific services and Contractor indicates a willingness to perform such specific services for the terms and under the <br />conditions specified in this Agreement. Each Purchase Order must be fully executed by the Owner, and will reference <br />this bid and the Contractor's proposal. <br />4.03 All services provided by the Contractor for the Owner shall be identified in Work Authorizations and <br />performed in a timely, efficient, cost effective manner. Work Authorization shall include a description of services to <br />be performed; a statement of fees; a schedule of deliverables; proposed schedule for compensation and whether <br />
