1:FT"11 <br />APPENDIX VII <br />TD LOCKBOX SERVICES <br />This Appendix is incorporated by reference into the parties' Cash Management Master Agreement and applies to all TD Lockbox <br />Retail and TD Lockbox Wholesale Services (the "Services') made available to Customer by Bank. All capitalized terms used <br />herein without definition shall have the meanings given to them in the Cash Management Master Agreement. Except as otherwise <br />expressly provided in this Appendix, to the extent that this Appendix is inconsistent with the provisions of the Cash Management <br />Master Agreement, this Appendix and any amendment hereto from time to time shall control, but only to the extent necessary to <br />resolve such conflict. <br />TERMS AND CONDITIONS <br />1. Services. The Services described in this <br />Appendix provide Customer with a remittance or payment <br />processing arrangement that offers an efficient method for <br />the collection and processing of certain payment items <br />payable to Customer, and the accompanying documents or <br />information associated with such payment items. Through <br />the Services, Bank receives, opens and processes checks and <br />credit card payment authorizations (if authorized) for <br />Customer, and the accompanying documents for such <br />payments, that are addressed to Customer and delivered to <br />U.S. Post Office Boxes or locations designated by Bank. <br />1.1 Retail Lockbox. The Services <br />consolidate and expedite the automated processing of high <br />volume, low dollar remittance payments received by <br />Customer, as applicable, from its retail clients. <br />1.2 Wholesale Lockbox. The Services also <br />consolidate and expedite the automated processing of low <br />volume, large dollar remittance payments received by <br />Customer, as applicable, from its vendors or other third <br />parties. <br />2. Customer Obligations & Authorizations. <br />2.1 Customer will maintain an Account at <br />Bank as the designated depository Account for the Services <br />("Designated Account"). Customer will maintain balances in <br />the Designated Account or other Customer Account(s) <br />sufficient to offset any returns for payments that cannot be <br />deposited. <br />2.2 Customer authorizes Bank to establish <br />United States Postal Service ("USPS") Caller Boxes (as such <br />terms are defined by the USPS) (collectively, the "PO <br />Box(es)" or "Lockbox(es)") at pre -determined postal <br />facilities, or to utilize existing Customer -established PO <br />Boxes, to collect payments and accompanying documents <br />remitted for the benefit of Customer. If a Customer - <br />established PO Box will be used for purposes of the <br />Services, Customer is solely responsible for any and all <br />charges related to the rental and use of the PO Box. <br />2.3 Customer agrees to provide Bank with <br />unrestricted and exclusive access to Customer -established <br />Lockbox location(s) and contents, and Bank has the sole <br />right to process remittance materials contained therein. <br />2.4 Prior to deposit into the Designated <br />Account, the Lockbox contents will not be available to <br />Customer, except upon request to Bank, and only with <br />Bank's consent. <br />2.5 Customer is responsible for instructing <br />all of its clients about the requirements of the Services as <br />they relate and apply to payments and accompanying <br />documents remitted by those clients for the benefit of <br />Customer. <br />2.6 Customer authorizes Bank to endorse all <br />payments received by Bank with a standard lockbox <br />endorsement used by Bank and without the signature of <br />payee, date or payor name, and to deposit payments, <br />including those with restrictive legends and endorsements, <br />into Customer's Designated Account. <br />2.7 Bank may delegate all or a portion of its <br />duties or rights regarding the Services and as set forth in this <br />Appendix to Bank Third Parties (as defined in the Cash <br />Management Master Agreement). Bank may change the <br />Bank Third Parties to which it delegates these <br />responsibilities in its sole and exclusive discretion. <br />3. Mail Collection and Processing. <br />3.1 Mail Collection and Pre -Processing. <br />Bank shall collect the mail from Lockboxes in accordance <br />with Bank's schedule, as such schedule may change from <br />time to time. Bank will transport mail by courier to its <br />processing location(s), open the mail containing checks, <br />share drafts, money orders, credit card payment information <br />(if authorized), invoices or other contents (hereinafter <br />referred to collectively as "Lockbox Item(s)"). Bank will <br />also accept overnight delivery packages as part of the <br />Services, when the same are properly addressed to and <br />receipt properly confirmed by Services' personnel at Bank's <br />processing location(s), and will process the same in <br />accordance with this Appendix.
