received, using ordinary care, Bank will date stamp, inspect <br />and process the Lockbox Item as specified in the Services' <br />Setup Form(s). <br />3.2 Item Processing. Lockbox Items will <br />be processed according to the Account Agreement, except as <br />modified by this Appendix. <br />3.2.1 Domestic Checks. Bank may <br />accept for deposit to Customer's Account all items made <br />payable to or endorsed by Customer as an individual payee <br />or joint payee, regardless of whether those items bear <br />Customer's endorsement, subject to Bank's verification and <br />final inspection. Customer may also provide a list of <br />acceptable payee(s) (an "Acceptable Payee") on the <br />Services' Setup Form(s). <br />3.2.2 Foreign Checks. Foreign <br />check deposits are processed in accordance with the <br />Services' Setup Form(s). Checks drawn on U.S. banks in <br />U.S. dollars will be deposited. Checks drawn in foreign <br />currency (including Canadian checks in CAD) will be <br />processed according to the Services' Setup Form(s). <br />3.2.3 Cash. Cash deposits are not <br />accepted for processing under the Services. Customer shall <br />advise its clients not to send currency or coin to the Lockbox. <br />Bank is not responsible for cash intentionally sent to the <br />Lockbox, but never processed. Notwithstanding the <br />foregoing, in the event cash is received in the Lockbox, Bank <br />will make a good faith effort to deposit cash into Customer's <br />Designated Account and provide a control report regarding <br />these items to Customer. <br />3.2.4 Credit Cards. <br />(a) Credit <br />card payments may only be <br />processed through the Lockboxes <br />upon approval by Bank and <br />execution by Customer of all <br />required agreements and related <br />documentation, including without <br />limitation a merchant credit card <br />processing services agreement <br />("Card Processing Agreement") <br />and associated merchant account <br />with Bank and/or another financial <br />institution. Customer is responsible <br />for complying with the terms of <br />Customer's Card Processing <br />Agreement, and with all applicable <br />card network rules with respect to <br />credit card payments. <br />(b) In order <br />to be eligible for processing by <br />Bank, written authorizations to <br />charge payments due Customer to <br />the payors' credit cards ("Charge <br />Authorizations") must be received <br />through the Lockboxes. A Charge <br />Authorization received in the <br />Lockbox must contain the name of <br />the account debtor, the account <br />debtor's credit card number, <br />expiration date, the three digit <br />security code, and the amount of <br />the payment authorized, all of <br />which must be written or imprinted <br />on the authorization form in a <br />reasonably legible manner. If any <br />one of these items of information is <br />missing from a Charge <br />Authorization, or is, in the sole <br />judgement of Bank or its service <br />provider, not sufficiently legible <br />for processing purposes, the <br />Charge Authorization will not be <br />processed, and will be forwarded to <br />Customer as set forth below. <br />(c) Bank will proceed to process <br />for approval each Charge Authorization received in the <br />Lockbox which contains the information required above and <br />is otherwise eligible for processing. Bank will seek approval <br />from the issuer of the applicable credit card for the payment <br />transaction set forth on the Charge Authorization. Bank will <br />submit for settlement each Charge Authorization approved <br />in this manner. <br />(d) Credit card payments will be <br />batched independently from regular payment items in the <br />Lockbox. Following processing of Charge Authorizations <br />for approval, Bank will segregate those Charge <br />Authorizations which are approved from those Charge <br />Authorizations which are declined. Reports will be sent to <br />Customer regarding these deposits based on the Services' <br />Setup Form(s). <br />3.2.5 Other Items. Items received <br />from the Lockbox other than Lockbox Items or cash will be <br />forwarded to Customer as unprocessed items. Except for its <br />gross negligence or willful misconduct, Bank shall not be <br />responsible for any claimed loss or disappearance of cash or <br />other payments in bearer form. <br />3.2.6 Additional Terms. <br />(a) Customer guarantees to Bank <br />the payment of all deposited items identified in this Section <br />3.2. Bank will return to Customer any payments that cannot <br />be deposited. Lockbox Items with apparent alterations will <br />not be deposited. Under no circumstances shall Bank be <br />responsible or liable for identifying or failing to identify <br />stale -dated and post-dated checks or checks specifying <br />"payment in fall" (or similar statements) in Customer's <br />Lockbox Items, or for processing such items. Customer <br />acknowledges that if checks specifying "payment in full" <br />(or similar statements) are negotiated, that could adversely <br />affect Customer's ability to collect any balance owed on the <br />related liability. Customer understands and agrees that <br />Bank makes no representation or warranty that it will apply <br />an endorsement intended to preserve Customer's rights to <br />collect the full amount owed or that any endorsement that <br />applies to a Lockbox Item will in fact preserve Customer's <br />HC 4814-6754-1549 Page 37 oj54 0420 <br />
