4D <br />CONTRACTOR's obligation to perform the Work in accordance with the Contract <br />Documents (except as provided in paragraph 14.16). <br />Waiver of Claims: <br />14.16 The making and acceptance of final payment will constitute: <br />14.16.1 a waiver of all claims by OWNER against CONTRACTOR, except claims <br />arising from unsettled Liens, from defective Work appearing after final <br />inspection pursuant to paragraph 14.11 or from failure to comply with the <br />Contract Documents or the terms of any special guarantees specified <br />therein; however, it will not constitute a waiver by OWNER of any rights in <br />respect of CONTRACTOR's continuing obligations tinder the Contract <br />Documents; and <br />-14,16.2 a waiver of all claims by CONTRACTOR against OWNER other than those <br />previously made in writing and still unsettled. <br />ARTICLE 5 - AI[M <br />OWNER May Suspend Work. <br />15.1 OWNER may, at any time and without cause, suspend the Work or any portion thereof for <br />a period of not more than ninety (90) gays by notice in writing to CONTRACTOR and <br />ENGINEER which will fix the date on which Work will be resumed. CONTRACTOR shall <br />resume the Work on the date so fixed. CONTRACTOR shall be allowed an increase in the <br />Contract Pico or an extension of the Contract Time, or both, directly attributable to any <br />suspension if CONTRACTOR makes an approved claim therefor as provided in Articles <br />11 and 12. <br />OWNER May Terminate. <br />15.2 Upon the occurrence of any one or more of the following events: <br />15.2,1 if CONTRACTOR commences a voluntary case under any chapter of the <br />Bankruptcy Code (Title 11, United States Code), as now or hereafter in effect, or <br />if CONTRACTOR takes any equivalent or similar action by filing a petition or <br />otherwise under any other federal or state law in effect at such time relating to titre <br />bankruptcy or insolvency; <br />15.2.2 if a petition is filed against CONTRACTOR under any chapter of the Bankruptcy <br />Code as now or hereafter in effect at the time of filing, or if a petition is filed <br />see!Jng any -=-h G qui, alcnt : aiimllar rvlivi ragaiir5i CONTRACTOR wider any <br />otherfederal or state law in effect at the time relating to bankruptcy or insolvency; <br />15.2.3 if CONTRACTOR makes a general assignment for the benefit of craditor% <br />15.2.4 if a tiustee, receiver, custodian or agent of CONTRACTOR is appointed under <br />applicable law or under contract, whose appointment or authority to take charge of <br />property of CONTRACTOR is for the purpose of enforcing a Lion against such <br />property or for the purpose of general administration of such property for the <br />benefit of CONTRACTOR's creditors; <br />15.2.5 if CONTRACTOR admits in writing an inability to pay its debts generally as they <br />become due; <br />15.2,6 if CONTRACTOR persistently fails to perform the Work in accordance with the <br />Contract Documents (including, but not limited to, failure to supply sufficiently <br />GENERAL CONDTT ONS <br />GC » 37 <br />
