OFFICER'S CERTIFICATE <br />of <br />STANTEC CONSULTING SERVICES INC. <br />A NEW YORK CORPORATION <br />I, the undersigned, do hereby certify that: <br />1. I am the duly elected and acting Corporate Counsel of Stantec Consulting <br />Services Inc., a New York corporation (the "Corporation"). <br />2.
