❑ (4) provides goods or services that are ancillary to the operation of the Federal program; <br />❑ (5) is not subject to compliance requirements of the Federal program funding the services. <br />Some additional characteristics (in reference to research projects) of a vendor relationship <br />include, but are not limited to, when: <br />❑ (6) the entity has provided little or no independent decision-making in the design and conduct of the <br />research being completed; <br />❑ (7) the entity commits to deliverable goods or services, which if not satisfactorily completed will <br />result in no payment; <br />❑ (8) the entity does not expect to have its employees credited as co-authors on papers or <br />publications that result from the research; and <br />❑ (9) the work will not result in any potential patentable or copyrightable products. <br />(d) Use of judgment in making the determination. There may be unusual circumstances or exceptions <br />to the characteristics listed above. In making the determination of whether a sub -recipient or vendor <br />relationship exists, the substance of the relationship is more important than the form of the agreement. It is <br />not expected that all of the characteristics will be present, and judgment should be used in determining <br />whether the entity is a sub -recipient or a vendor. <br />(e) For-profit sub -recipient. FWC is responsible for establishing any necessary requirements to ensure <br />compliance by for-profit sub -recipients. The contract with the for-profit sub -recipient should describe <br />applicable compliance requirements and the sub -recipient's responsibilities. Methods to ensure compliance <br />for Federal pass -though awards to for-profit sub -recipients may include pre -award audits, monitoring during <br />the period of performance, and post -award audits. <br />(f) Compliance responsibility for vendors. Inmost cases, FWC's compliance responsibility for <br />vendors is to ensure that the procurement, receipt, and payment for services comply with the laws, <br />regulations, and provisions of the agreement.
