•• <br />• <br />4W <br />i <br />3.0 MODIFICATIONS <br />3.1 This agreement and executed contracts associated hereto, constitute the entire agreement. <br />and understanding between the parties hereto. and it shall not be considered modified, <br />altered. changed or amended in any respect unless in writing and signed by the parties <br />hereto. <br />3.2 If any provisions of this agreement shall be declared illegal, void, or unenforceable, the <br />other provisions shall not be affected but shall remain in hall force and effect. <br />3.3 The County will not be bound under this agreement for similar or like services being <br />provided by County agencies or for services entered into by the County under a separate <br />agreement. <br />4,0 CONTRACTOR'S PERSONNEL <br />4 1 All employees of the contractor shall be considered to be at all times the sole employees <br />of the contractor and not an employee or agent of Indian River County. information <br />regarding employee's experience and qualifications shall also be furnished. The <br />principals of any corporation or the contractor may be subject to a background <br />investigation. <br />42 The Responsible Agent or his representative may submit a written report to the <br />Contractor enumerating problem areas encountered. The Contractor will provide written <br />documentation of action to be taken to resolve problems. <br />4.3 The Contractor shall be required to pay his employees the federal minimum wage. It <br />shall be the privilege of the. County to inspect payroll records of the contractor as may be <br />deemed necessary to determine that the contractor is complying with the federai wage <br />and hour law. <br />5.0 TERMINATION BY THE COUNTY <br />5.1 The County reserves the right to terminate the contract and/or purchase order at any time, <br />with or without cause, upon one hundred eighty (130) days advance written notice to the <br />contractor. <br />5.2 If the Contractor is adjudged bankrupt, either voluntary or involuntary, the County may <br />terminate the contract and/or purchase order effective on the day and time the bankruptcy <br />petition is filed and may proceed to provide service as previously outlined. <br />6.0 ROOKS AND RECORDS <br />6.1 The Contractor shall keep records of services performed and the costs therefore, and the <br />County shall have the right to review those records upon three (3) days written notice. <br />These records shall become the property ofthe County upon termination of this contract.. <br />to <br />
