sc rwks <br />SUBSCRIPTION SERVICES AGREEMENT <br />This agreement is between Seabrooks Too LLC, a Texas limited liability company (Seabrooks), and the <br />customer agreeing to these terms (Subscriber). It is dated as of the date Seabrooks signs below. <br />1. Software service. This agreement provides the Subscriber access to and usage of an Internet <br />based software service as specified on an order (Service). <br />2. USE OF SERVICE. <br />a. Subscriber Owned Data. All data uploaded or entered by Subscriber or any person granted access <br />by Subscriber in accordance with this agreement remains the property of Subscriber, as between <br />Seabrooks and Subscriber (Subscriber Data). Subscriber Data may not include individually <br />identifying or sensitive information, as further described in the Service's technical documentation. <br />Subscriber grants Seabrooks the right to use the Subscriber Data solely for purposes of performing <br />under this agreement. During the term of this agreement, Subscriber may export its Subscriber Data <br />as allowed by functionality within the Service. <br />b. Access and Usage. <br />i. Subscriber may allow its employees, contractors and Collaborators to access the Services in <br />compliance with the terms of this agreement, which access must be for the sole benefit of <br />Subscriber or in the case of a Collaborator, for the sole benefit of the Collaborator's process <br />or project; provided however, Subscriber must (a) provide Seabrooks with prior written <br />notice of the requirement to allow a third party contractor or Collaborator to access or use <br />of the Service, (b) pay for Collaborator's access and use of the Service, (c),pssign itself to the <br />'administrator role' in the Service (Collaborators may not be assigned to this role); and (d) <br />receive written notice from Seabrooks allowing a third party contractor or Collaborator to <br />access or use of the Service. <br />ii. Collaborator is defined as an organization that utilizes the services in the same manner as the <br />Subscriber under the Subscriber's license. <br />iii. Subscriber is solely responsible for (a) the compliance with this agreement by its contractors <br />and Collaborators, (b) the compliance with the Terms of Use by its contractors and <br />Collaborators, and (c) managing its Collaborators' access and use of the Service through the <br />'user roles and permissions' feature in the Service. <br />c. Subscriber Responsibilities. Subscriber (i) must keep its passwords secure and confidential; (ii) is <br />solely responsible for Subscriber Data and all activity in its account in the Service; (iii) must use <br />commercially reasonable efforts to prevent unauthorized access to its account, and notify <br />Seabrooks promptly of any such unauthorized access; (iv) must maintain and make available when <br />requested by Seabrooks a record of all contractors and Collaborators accessing the Service, and (v) <br />may use the Service only in accordance with the Service's technical documentation, all terms and <br />conditions identified in the order (Order Form), and applicable law. <br />d, Seabrooks Support. Seabrooks must provide Subscriber support as described on Order Form <br />(Support). Support is provided to Subscribers only, not to Collaborators. <br />
