SECTION 10. TERMINATION <br />This Agreement may be terminated by ATTORNEY at any time and for any reason by resignation <br />with 60 days' written notice, in which case ATTORNEY will be paid through the last day worked, or by <br />the County, at any time or for any reason, by giving ATTORNEY notice of termination <br />A. Termination without Cause. The BOARD may, at any time whatsoever, terminate the <br />employment of the ATTORNEY, without cause. Upon such termination, The ATTORNEY will be entitled <br />to: 1) a severance payment as set forth in Section l 1 below; and 2) a lump sum payment at her then - <br />hourly rate of base salary as ATTORNEY for all annual leave hours accumulated but unused as of the <br />date of termination, not to exceed the maximum accrual provided in the County's Administrative Policy <br />Manual applicable to all other full-time, regular non -contract eligible employees of the County. <br />ATTORNEY will continue deductions for insurance benefits and pension during the period of severance <br />and County will continue to make applicable insurance and pension contributions during the period of <br />severance. <br />B. Termination for Cause. The BOARD may also, for cause, terminate the employment of the <br />ATTORNEY at any time whatsoever. The ATTORNEY shall be entitled to a hearing if, within five (5) <br />business days of termination for cause, ATTORNEY so requests in writing to the BOARD. In the event <br />the ATTORNEY'S employment is terminated for cause, the County shall be under no obligation to pay <br />severance pay described under subsection A above and Section 11. The term "for cause", shall be deemed <br />to include: gross negligence in the handling of County affairs; willful violation of the provisions of law; <br />willful disregard of a direct order, demand, or policy of the County; conduct unbecoming a public <br />employee; illegal or habitual drug abuse; arrest; conviction of a felony; conviction of any crime involving <br />moral turpitude or relating to official duties; or violation of the Code of Ethics for Public Officers and <br />Employees; or as set forth in Section 3 above. <br />SECTION 11. SEVERANCE <br />If County terminates this Agreement at any time without cause, County shall pay ATTORNEY <br />twenty (20) weeks of severance equal to ATTORNEY'S then salary as set forth in Section 4 in effect at <br />the time of termination. <br />SECTION 12. NO PROPERTY RIGHTS <br />The ATTORNEY shall not acquire any property rights in employment or continued employment <br />as a result of this Agreement but shall obtain only those contractual rights described herein. <br />SECTION 13. INTERPRETATION <br />This Agreement has been submitted to the equal review and scrutiny of both parties, and both <br />parties agree that it fairly and accurately sets forth the terms of their agreement. In any dispute between <br />the parties, the Agreement shall be given a fair and reasonable interpretation, without consideration or <br />weight being given to the fact that it was initially prepared or drafted by any particular party. <br />SECTION 14. SEVERABILITY <br />Each provision of this Agreement is deemed to be separate and divisible. If any provision shall be <br />held invalid, the remaining provisions shall remain in full force and effect. <br />3 <br />
