responsible for all resulting damages, associated monetary penalties and costs of corrective <br />measures. <br />Article 8. Office and Facilities <br />8.1 Office and Maintenance Facility <br />Contractor shall maintain an office and fleet yard/maintenance facility located within Indian River <br />County to house Contract Manager and provide for ease of dispatch for fleet and equipment <br />necessary to perform services defined herein. No alternate location shall be utilized without prior <br />SWDD approval. <br />Article 9. Inspections, Recordkeeping and Reporting <br />9.1 Inspections <br />9.1.1 Contract Manager shall attend regularly scheduled monthly inspections at each CCC with a <br />SWDD representative. These inspections shall cover operational and maintenance services <br />required by Contractor. Documentation of inspection reports completed by SWDD shall be <br />submitted to Contractor within three (3) business Days. Contractor shall retain all <br />completed inspection reports for recordkeeping purposes over the Contract term. SWDD <br />retains the right to request additional inspections and to perform inspections without <br />Contract Manager or Contractor representation. Such inspections shall not require notice <br />to the Contractor. However, Contractor shall receive a copy of the completed inspection <br />report within three (3) business Days. <br />9.1.2 All inspections conducted by SWDD shall be documented via a formal checklist developed <br />by SWDD and shared with Contractor at a minimum of thirty (30) Days prior to <br />Commencement Date. <br />9.1.3 All inspections conducted by SWDD do not waive or release Contractor from liability and <br />full responsibility for conducting all operations in accordance with terms defined herein. <br />9.1.4 Contractor shall be responsible for addressing all deficiencies identified and documented <br />during inspections within 5 business Days. Repeat violations or deficiencies not addressed <br />shall be subject to the performance standards and Administrative Charges defined in Article <br />12.2. <br />9.2 Recordkeeping and Reporting <br />9.2.1 Contractor shall maintain books, records, documents, time, and cost accounts and other <br />evidence directly related to its performance of services under this Contract. Time records <br />and cost data shall be maintained in accordance with generally accepted accounting <br />principles. SWDD retains the right to perform audits of Contractors at SWDD's expense <br />should SWDD deem necessary. <br />14 <br />ACTIVE: 38438749.1 <br />
