b) The Contractor has a responsibility to resolve customer or citizen disputes in a <br />professional manner. <br />c) SWDD reserves the right to investigate customer or citizen complaints and if the <br />complaint is deemed valid and not resolved in a timely manner, SWDD may impose <br />Administrative Charges. <br />d) Contractor shall notify SWDD immediately of any damages to permanent equipment, <br />fixtures, fencing, buildings, or facilities at the Landfill that are caused by the <br />Contractor and/or its subcontractor. The Contractor, at its sole expense, shall <br />immediately initiate the required repairs and inform SWDD of the expected timeline <br />of repair. Should the Contractor refuse to initiate repairs within ten (10) days of <br />notification, SWDD may make the necessary repairs and bill the Contractor for the <br />cost of the repairs plus fifteen (15%) percent. <br />Article 14. Termination <br />14.1 Failure to Maintain Performance Bond and Insurance. <br />SWDD reserves the right to terminate this Agreement if Contractor fails to obtain and maintain <br />the Performance Bond as set forth in Article 10 and the insurance requirements set forth in <br />Article 12. <br />14.2 Agreement Subiect to Annual Appropriation. <br />Funding for this Agreement is subject to annual appropriation by the Board of County <br />Commissioners. The Parties agree that it is the intent of each to fulfill this Agreement in its <br />entirety but understand that unforeseen financial circumstances may occur. SWDD therefore <br />retains the right to terminate this Agreement in part or in total should the Board of County <br />Commissioners, sitting as the Solid Waste Disposal District, be unable to appropriate sufficient <br />funding. In such case SWDD will notify Contractor 180 calendar days in advance of the <br />termination. In the event that this clause is exercised in the first 5 years of this Agreement the <br />parties will negotiate in good faith to reimburse Contractor for any unrealized capital costs. <br />14.3 Scrutinized Companies <br />Contractor is advised that section 287.135, Florida Statutes, prohibits agencies from <br />contracting with companies for goods or services of One Million Dollars ($1,000,000.00) or <br />more that are on either the Scrutinized Companies with Activities in the Sudan List and/or the <br />Scrutinized Companies with Activities in the Iran Petroleum Energy List. Both lists are created <br />pursuant to section 215.473, Florida Statutes. SWDD reserves the right to terminate this <br />Agreement if SWDD discovers that the Contractor has submitted a false certification regarding <br />the Scrutinized Companies with Activities in the Sudan List and/or the Scrutinized Companies <br />with Activities in the Iran Petroleum Energy List, and/or if, during the term of the Agreement, <br />the Contractor has been placed on the Scrutinized Companies with Activities in the Sudan List <br />and/or the Scrutinized Companies with Activities in the Iran Petroleum Energy List. <br />Indian River County Landfill Operating Agreement Final Page 30 of 42 <br />
