BUTLER, CLERK <br />EXTENSION TO MEMORANDUM OF UNDERSTANDING <br />FOR ANIMAL SHELTER SERVICES <br />THIS EXTENSION TO MEMORANDUM OF UNDERSTANDING FOR ANIMAL <br />SHELTER SERVICES ("Extension") is entered into as of this 9 day of December , 2025, <br />by and between the Humane Society of Vero Beach & Indian River County, Florida, Inc. a <br />Florida not for profit corporation, whose address is 6230 771 Street, Vero Beach, Florida, 32967 <br />("Society") and the Board of County Commissioners of Indian River County, a political <br />subdivision of the State of Florida, whose address is 1801 271 Street, Vero Beach, Florida, 32960 <br />("County"). <br />BACKGROUND RECITALS <br />A. On January 12, 2021, Society and County entered into an Extension to Memorandum <br />of Understanding for Animal Shelter Services, which commenced on May 1, 2021 <br />and lasts for twelve months; and <br />B. The parties have extended the Memorandum of Understanding four times, and now it <br />expires on November 30, 2025; and <br />C. The parties are exploring a new cooperative undertaking to ensure the safety and <br />well-being of animals in Indian River County, and <br />D. This new structure may require new agreements further defining the relationship of <br />the parties, but there is a need to continue the current relationship until such times and <br />the new roles are in place; and <br />E. The parties wish to extend the Memorandum of Understanding for Animal Shelter <br />Services until November 30, 2026, or until notice is given to terminate the current <br />Memorandum of Understanding. <br />NOW THEREFORE, in accordance with the mutual covenants herein contained and <br />other good valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the parties agree as follows: <br />1. The above background recitals are true and correct and are incorporated herein. <br />2. The Memorandum of Understanding for Animal Shelter Services is extended until <br />November 30, 2026 or until the County gives Society ninety(90) days' notice of <br />termination of the MOU. Society shall have one hundred and twenty (120) days' notice <br />of intent to terminate the MOU. At such time, all duties and responsibilities of the parties <br />shall cease. <br />3.
