RESOLUTION NO. 97-34 <br />A RESOLUTION OF INDIAN RIVER COUNTY, FLORIDA <br />AUTHORIZING A MEMORANDUM OF AGREEMENT WITH <br />OCEAN SPRAY CRANBERRIES, INC. WITH RESPECT TO <br />THE FINANCING OF THE ACQUISITION AND <br />REHABILITATION OF A CITRUS PULP PROCESSING <br />FACILITY AND FACILITIES DIRECTLY RELATED OR <br />ANCILLARY THERETO IN INDIAN RIVER COUNTY, <br />FLORIDA; THE PROPOSED ISSUANCE AND SALE OF NOT <br />TO EXCEED $10,000,000 IN AGGREGATE PRINCIPAL <br />AMOUNT OF INDIAN RIVER COUNTY, FLORIDA <br />INDUSTRIAL DEVELOPMENT REVENUE BONDS, SERIES <br />(TO BE DETERMINED) (OCEAN SPRAY CRANBERRIES, <br />INC. PROJECT) FOR THE PURPOSE OF PAYING ALL OR <br />ANY PART OF THE COST OF SAID PROJECT; AND <br />PROVIDING AN EFFECTIVE DATE. <br />BE IT RESOLVED, by the Board of County Commissioners of Indian <br />River County, Florida: <br />SECTION 1. AUTHORITY FOR THIS RESOLUTION. This Resolution is <br />adopted pursuant to the provisions of Chapters 125 and 159, Parts <br />II and III, Florida Statutes, as amended, and other applicable <br />laws. <br />SECTION 2. FINDINGS. It is hereby found, ascertained, <br />determined and declared that: <br />(A) Indian River County, Florida (the "County") by - and through <br />its Board of County Commissioners is authorized and empowered by <br />the provisions of Chapter 125, Florida Statutes, and the Florida <br />Industrial Development Act, being Parts II and III of Chapter 159, <br />Florida Statutes (collectively, the "Act") to provide for the <br />issuance of and to issue and sell its Industrial Development <br />Revenue Bonds for -the -purpose of paying all or any part of the cost <br />of any "project" as defined in the Act and related facilities; and <br />(B) Ocean Spray Cranberries, Inc., a corporation duly organ- <br />ized and existing under the laws of the State of Delaware and <br />authorized to transact business in the State of Florida (hereinaf- <br />ter referred to as the "Company"), informed the County of the <br />Company's desire to acquire, rehabilitate and expand an existing <br />waste citrus peels and pulp processing facility designed to convert <br />55 <br />GOOK 10i PAGE 233 <br />April 22, 1997 <br />
