month or at such other intervals as Board of Directors shall from <br /> time to time direct. <br /> ARTICLE SEVEN <br /> Committees <br /> 7 . 1 Executive Committee. The Executive Committee shall be comprised of the Chair, the <br /> Vice Chair, the immediate past Chair, and the chairs of the Finance and Audit <br /> Committee , the Legislative and Public Policy Committee and the Governance <br /> Committee . The Committee shall be empowered to exercise the full authority of the <br /> Board of Directors in the management of the affairs of the corporation between meetings <br /> of the Board of Directors . However, the establishment of the Executive Committee and <br /> the delegation thereto of authority shall not operate to relieve the Board or any individual <br /> Director of any responsibility imposed thereupon by law. <br /> 7 . 2 Standing Committees of the Board . The Chair shall appoint, with the advice of the <br /> Executive Committee , the following standing committees and their chairs : <br /> a. The Finance and Audit Committee . The Finance and <br /> Audit Committee is responsible for the fiscal affairs of <br /> the corporation, and shall review and make <br /> recommendations to the Executive Committee and the <br /> Board of Directors with respect to all aspects of the <br /> financial affairs of the corporation . The Finance and <br /> Audit Committee shall also make recommendations to the <br /> Board with respect to the outside audit firm to be <br /> engaged, review the audit results, financial statements <br /> and scope of the audit, oversee the auditing of the <br /> corporation ' s internal audit functions and report its <br /> findings to the Executive Committee and the Board of <br /> Directors . <br /> b . The Legislative and Public Policy Committee . The <br /> Legislative and Public Policy Committee shall develop, <br /> formulate and direct the corporations ' legislative program <br /> with respect to Federal , State and Local legislation which <br /> may affect the lives of children and families in the State <br /> of Florida. The Committee shall report regularly to the <br /> Executive Committee and the Board of Directors and <br /> perform such other duties and functions with respect to <br /> legislative and pubic policy matters as it may be assigned <br /> from time to time . <br /> C . Governance Committee , The Governance Committee <br /> shall lead the Board of Directors in regularly reviewing <br /> and updating the board ' s statement of its roles and areas <br /> of responsibility, and what is expected of individual <br /> board members . The Committee leads in assessing <br /> Revised and annroved by the State Roard of Directors 12 /8/OD. <br />
