current and anticipated needs related to board <br /> composition, determining the knowledge , attributes, <br /> skills , abilities , influence , and access to resources the <br /> board will need to consider in order to accomplish the <br /> future work of the board. The Committee shall develop a <br /> profile of the board as should evolve over time . The <br /> Committee will actively seek recommendations for board <br /> members based on that profile from various sources <br /> including all Regions and Divisions (as such terms are <br /> hereinafter defined . ) The Committee designs and <br /> oversees a process of board orientation, including <br /> gathering information prior to election as board member <br /> and information needed during the early stage of board <br /> service . The Committee will design and implement an <br /> ongoing program of board information and education. <br /> The Committee will initiate periodic assessment of the <br /> board ' s performance . The Committee will regularly <br /> review the board ' s practices regarding member <br /> participation, conflict of interest, confidentiality, etc. and <br /> suggest improvements as needed. The Committee takes <br /> the lead in succession planning, taking steps to recruit <br /> and prepare for future board leadership. The committee <br /> nominates board members for election as board officers . <br /> 7 . 3 Other Committees. The Board of Directors and/or the Chair may create such other <br /> committees , advisory boards and panels , which may consist in whole or in part of persons <br /> who are not Directors , as it, or he or she, may from time to time deem advisable or <br /> necessary. It shall bd the function and purpose of each such committee , board or panel to <br /> advise the Board of Directors and perform such specific duties or functions as may be <br /> prescribed for it by the Board of Directors and/or the Chair and shall serve at their <br /> pleasure. Appointment to and the filling of vacancies of any such committee , board or <br /> panel shall be made by the Chair of the corporation. <br /> 7. 3 Quorum. Unless otherwise provided by the Board of Directors with respect to any <br /> given Committee, one-half of the members of a Committee shall be required to constitute <br /> a quorum, and the act of a majority of members present at a meeting at which a quorum is <br /> present shall be the act of the Committee . <br /> ARTICLE EIGHT <br /> Regions and Division Boards <br /> 8 . 1 Geographic Designations. The Board of Directors shall divide the State of Florida into <br /> geographic areas designated as Regions and Divisions . Initially, there shall be five ( 5 ) <br /> Regions and fourteen ( 14 ) Divisions , but the Board of Directors may increase or decrease <br /> the number of Regions and/or Divisions as it may from time to time deem advisable or <br /> necessary for the administration of the corporation . <br /> Revised and nnnroved by the State Board of Directors 12/8/00. <br />
