8 . 2 Division Boards. Each Division shall have a locally-constituted and elected Division <br /> Board . The Division Boards shall be advisory in nature and shall recommend prospective <br /> Directors to the Board of Directors of the corporation and undertake other functions as <br /> the Board may from time to time direct. <br /> ARTICLE NINE <br /> Contracts and Monetary Matters <br /> 9 . 1 Contracts . The Board of Directors may authorize such other officers and agents of the <br /> corporation , in addition to the officers so authorized by these Bylaws , to enter into any <br /> contract or execute and deliver any instrument in the name and on behalf of the <br /> corporation, but such authority must be in writing and may be general or confined to <br /> specific instances . <br /> 9 . 2 Checks, Drafts, Notes, Etc. All checks, drafts , or other orders for the payment of <br /> money, notes or other evidences of indebtedness issue in the name of the corporation <br /> shall be signed by the treasurer and countersigned by the president, and may be signed by <br /> such other officer or officers , agent or agents, of the corporation and in such manner as <br /> may from time to time be determined by resolution of the Board of Directors . <br /> 9 . 3 Deposits. All funds of the corporation shall be deposited from time to time to the credit <br /> of the corporation in such banks , trust companies or other depositories as the Board of <br /> Directors may select. <br /> 9 . 4 Gifts. The Board of Directors may accept on behalf of the corporation any contribution, <br /> gift, bequest, or devise for the general purposes or for any special purpose of the <br /> corporation . <br /> ARTICLE TEN <br /> Indemnification and Insurance <br /> 10 . 1 Indemnification . In the event that any person who was or is a party to or is threatened to <br /> be made a party to any threatened, pending or completed action, suit or proceeding, <br /> whether civil , criminal , administrative or investigative, seeks indemnification from the <br /> corporation against expenses , including attorneys ' fees (and in the care of actions other <br /> than those by or in the right of its corporation, judgments , fines and amounts paid in <br /> settlement), actually and reasonably incurred by him in connection with such action, suit <br /> or proceeding by reason of the fact that such person is or was an officer, employee, <br /> director or agent of the corporation, or is or was serving at the request of the corporation, <br /> domestic or foreign, nonprofit or for profit, partnership, joint venture , trust, or other <br /> enterprise , then, unless such indemnification is ordered by a court, the corporation shall <br /> determine, or cause to be determined, in the manner provided under Florida law whether <br /> or not indemnification is proper under the circumstances because the person claiming <br /> such indemnification has met the applicable standards of conduct set forth in Florida law; <br /> and, to the extent it is so determined that such indemnification is proper, the person <br /> claiming such indemnification shall be indemnified to the fullest extent now or hereafter <br /> Revised and annroved by the State.
