A Florida Nonprofit Corporation ARTICLE I DEFINITIONS AND POWERS Section 1 . 1 DEFINITIONS . The terms set forth below shall have the following meanings unless otherwise required by the context in which they may be used : Articles of Incorporation . The term " Articles of Incorporation " shall mean the Articles of Incorporation of the Corporation filed with the Secretary of the State of Florida on the 10th day of December , 1984 , and any amendments thereto . Board . The term " Board " shall mean the Board of Directors of the Corporation. Board Committee . The term " Board Committee " shall mean a body which may be authorized to exercise a designated portion of the authority of the Board when the Board is not in session . Bylaws . The term " Bylaws " shall mean the Bylaws of the Corporation except where reference is specifically made to the bylaws of another entity or unit. District . The term " District " shall mean the Indian River County Hospital District . Ex Officio . The term " Ex Officio " means service as a member of a body by virtue of office or position and , unless otherwise expressly provided , includes the right to vote . Hospital . The term " Hospital " shall mean the hospital and/or any other health care facilities operated by the Corporation . Independent Director. The term " Independent Director " shall mean a Director whom the Nominating Committee or the District , as the case may be , has specifically determined , 1
