before his or her nomination for election or designation to the Board , can act without being <br /> unduly influenced by a current or prior affiliation , financial or otherwise , with the <br /> Corporation , its subsidiaries , its management , or its Medical Staff. <br /> Majority . The term " Majority " shall mean fifty- one percent (51 % ) or more of the <br /> applicable total number . <br /> Medical Staff. The term " Medical Staff" shall mean the formal organization (composed <br /> of all licensed physicians , dentists , other practitioners and health care personnel who are <br /> regularly privileged to admit , attend or consult with respect to patients of the Hospital) created <br /> and operated pursuant to the provisions of Article VII of these Bylaws . <br /> Medical Staff Bvlaws . The term " Medical Staff Bylaws " shall mean the bylaws , rules , <br /> regulations and procedures collectively setting forth the purposes , functions , organization and <br /> operation of the Medical Staff. <br /> Member . The term " Member " shall refer to a Member of the Corporation as described <br /> in Article III of these Bylaws . <br /> Officer. The term " Officer " , shall mean one or more of the positions as provided in <br /> Article V . <br /> Public Official . The term " Public Official " shall mean and refer to ( 1 ) every person who <br /> is elected to office in the State or any political subdivision of the State , or any other <br /> governmental entity created within the State ; or (2) every person who is appointed to fill <br /> a <br /> vacancy in such an elective office . <br /> State . The term " State " shall mean the State of Florida unless otherwise specifically <br /> indicated . <br /> Trustee . The term " Trustee " means a member of the Board of Trustees of the Indian <br /> River County Hospital District , <br /> Section 1 . 2 POWERS . Except as limited by the Articles of Incorporation or these <br /> Bylaws , the Corporation shall have and exercise such powers in furtherance of its purposes as <br /> are now or may hereafter be granted by Chapters 607 and 617 of the Florida Statutes . Such <br /> powers shall include but not be limited to the power to sue and be sued , to contract and <br /> be <br /> contracted with , and to acquire , purchase , hold , lease , sell , mortgage and convey such <br /> real and personal property as the Board may deem proper or expedient to carry out <br /> the <br /> purposes of the Corporation . <br /> 2 <br />
