in accordance with hearing and appellate review procedures adopted by the Board if and to the <br /> extent that such provision is included within the Medical Staff Bylaws , Policy on Appointment, <br /> Re Appointment & Clinical Privileges or otherwise specifically authorized by the Board . <br /> 7 . 42 MEDICO-ADMINISTRATIVE OFFICIALS . From time to time <br /> the Hospital may engage one or more practitioners as medico-administrative officials under <br /> such terms and conditions as are specified in an engagement agreement. The engagement <br /> agreement must require that any such medico-administrative official be a member of the <br /> Medical Staff and that his membership be processed and his -privileges be delineated on the <br /> basis of patient care criteria as provided herein . Unless otherwise provided in the engagement <br /> agreement , neither the Medical Staff membership nor_ the privileges of a medico-administrative <br /> - _ - official shall be terminated without the same hearing and appellate review opportunities as are -- <br /> provided for other members of the Medical Staff. The term . " medico-administrative official " <br /> shall mean a practitioner engaged by the Hospital -on a full-time -or part-time basis to perform <br /> duties which , although partially administrative , .include clinical responsibilities (e . g . , direct <br /> medical care or supervision of the professional activities of other practitioners) . <br /> Section 7 . 5 . STATUS AS INDEPENDENT CONTRACTOR . The members of the - <br /> Medical Staff (when attending patients and when acting as officials of the Medical Staff or as <br /> members of Committees of the Medical Staff, the Hospital or the Corporation) , shall perform <br /> their duties as independent contractors in accordance with their professional judgments . <br /> Nothing contained in these Bylaws shall - be interpreted to cause the Medical Staff or the <br /> - - <br /> practitioners who are members thereof to be- employees or agents of the Hospital or <br /> Corporation . The Corporation may , however, by specific written contract so stating , retain - - <br /> individual practitioners as employees to perform services-for the Hospital or Corporation . <br /> version MOV99 - - - — <br /> ARTICLE VIII <br /> QUALITY OF PROFESSIONAL SERVICES <br /> Section 8 . 1 . BOARD RESPONSIBILITY . The Board shall require , after considering <br /> the recommendations of the Medical Staff and other health care professionals providing patient <br /> _ care services , the performance of specific review and evaluation activities to assess , preserve <br /> - and improve the overall quality and efficiency of patient care in the Hospital . The Board , <br /> through the President , shall provide whatever- administrative assistance is reasonably necessary <br /> to support and facilitate the implementation and ongoing operation of these review and <br /> evaluation activities . <br /> Section 8 . 2 . ACCOUNTABILITY OF MEDICAL STAFF AND OTHER <br /> PROFESSIONALS TO BOARD . The Medical Staff and other health care professionals <br /> providing patient care services shall conduct activities that contribute to the assessment , <br /> preservation and improvement of the quality and efficiency of patient care provided in the <br /> 18 <br />
