(H) "Working Hours" are defined as 8 : 00 a. m . to 5 : 00 p . m . Monday through Friday <br /> excluding Holidays unless otherwise defined within this Agreement . Services <br /> performed outside of Working Hours shall be defined as "Emergency Services " . <br /> 2 .0 Scone of Work <br /> CII agrees to maintain the ability to provide the Products and the Services set forth in this <br /> Agreement and to provide the Products and Services described herein to The County <br /> including Emergency Services and Professional Services . The County agrees to purchase <br /> these products and services from CII as needed, in accordance with the terms and <br /> conditions of this Agreement. Please reference Attachment A, Scope of Work, as a <br /> guideline for services performed under this agreement . <br /> 3 . 0 Term of Agreement <br /> This shall be a one ( 1 ) year contract with a four (4) year renewal option upon mutual <br /> consent of the County and CII in writing, ninety (90) days prior to each one ( 1 ) year <br /> expiration date . If no documentation is received from the County prior to the renewal <br /> date, the contract will automatically renew for the next one ( 1 ) year period . The basis for <br /> this extension will be the consumer price index (CPI) for all urban consumers of the <br /> Bureau of Labor Statistics South Urban most recent publication prior to contract renewal . <br /> The adjustment factor used to create price adjustments up or down for each unit price <br /> proposed is as follows : <br /> Previous 12 month CPI-U South Urban = CPI Adjustment <br /> Current year CPI-U South Urban <br /> This Agreement may be terminated by either party at will , with or without cause, upon not <br /> less than ninety (90) days notice in writing by overnight delivery, personal delivery, or <br /> registered mail return receipt requested to the other party . Such notice shall be effective <br /> upon receipt . <br /> This Agreement will expire in the event that the Owner does not appropriate the funds for <br /> renewal . <br /> 4.0 Prices and Terms of Payment <br /> (A) The prices to be charged by CII for Professional Services and Emergency Services <br /> are set forth in Attachment B . <br /> (B) The prices to be charged by CII for the sale of service parts are set forth <br /> in <br /> Attachment C . <br /> (C) The prices to be charged for System Preventative Maintenance are set forth in <br /> Attachment D . <br /> - 2 - <br />
