Page 3 of 8 <br /> PROFESSIONAL GIS SERVICES (MASTER) AGREEMENT <br /> FOR THE GIS ENTERPRISE NEEDS ASSESMENT and FUTURE DEVELOPMENT STUDY 2005-2006 <br /> ( Cont) <br /> 5 . Compensation to the CONSULTANT for basic services shall be in <br /> accordance with this agreement and attached Scope of Services . Schedule <br /> of current hourly billing rates are included in "Exhibit A" attached , and will be <br /> included as part of the entire agreement hereon . All expenses related to the <br /> agreement ( Including but not limited to ; Lodging , Meals , travel cost , <br /> reproductions , deliverables or correspondences) are included in the accepted <br /> hourly rates . This agreement does not cover incidental expenses or <br /> reimbursements that are not agreed upon in writing prior to commencement <br /> LECTION V _ TIME FOR COMPLETION <br /> 1 . Time of Performance . As stated in the Scope of Services ( Exhibit A) the time <br /> frame for completion of all phases is six ( 6) months from notice to proceed . GTG <br /> will commence work on or as soon as practicable after the date of execution of <br /> this contract . All work as set forth in the Scope of Services ( Exhibit A) shall be <br /> completed within the time specified in the Scope of Services ( Exhibit A) the <br /> attached time- line in the Scope of Services ( Exhibit A) reflects commencement of <br /> work beginning at the time of the kickoff meeting . However , preliminary data <br /> gathering and distribution of a questionnaire will begin before the kickoff meeting . <br /> 2 . Delays Beyond the Control of GTG . It is agreed that events that are beyond the <br /> control of GTG or Indian River County may occur which may delay the <br /> performance of the Scope of Services ( Exhibit A) . In the event that the <br /> performance of the Scope of Services ( Exhibit A) by GTG is delayed beyond its <br /> control , GTG shall notify Indian River County of such delay and the reasons <br /> therefore in a timely manner , and Indian River County may , at its discretion , <br /> extend the time of performance appropriately . <br /> SECTION VI — COMPENSATION <br /> The COUNTY agrees to pay , and the CONSULTANT agrees to accept , for services <br /> rendered pursuant to this Agreement, fees * NOT TO EXCEED $45 , 000 in accordance with the <br /> following : <br /> A . Professional Services Fee — * The NOT to EXCEED amount of $45 , 000 is an upset <br /> limit . The CONSULTANT is required to perform tasks with due diligence in an effort <br /> to complete the project in the most cost effective way possible . The basic <br /> compensation shall be mutually agreed upon by the CONSULTANT and the <br /> COUNTY prior to issuance of the agreement . The amount shall be based on the <br /> approved fee schedule supplied by the CONSULTANT and as included in the Scope <br /> of Services ( Exhibit A) . All fees shall be formally approved by the County Project <br /> Manager and/or Board of County Commissioners , <br /> SECTION VII — ADDITIONS above the amount as stated in section VI shall only occur when the <br /> COUNTY or CONSULTANT requests changes , after it has been formally approved by this <br /> Agreement.
