lease shall be void and may, at the sole option of the County, be deemed an event of default <br /> under the lease. <br /> 6. Prohibition on Encumbrances. Norman shall not mortgage, pledge, or encumber the <br /> lease, in whole or in part, or the leasehold estate granted under the lease, to any other person, <br /> firm or entity. Any to do so shall be void and may, at the sole option of the County, be deemed <br /> an event of default under the lease. This covenant shall be binding on Norman' s successors in <br /> interest. <br /> 7. Employees Hired by Norman. All Norman' s employees shall be considered to be at all <br /> times her sole employees and not employees or agents of Indian River County. Information <br /> regarding an employee's experience and qualifications shall also be furnished to County prior to <br /> hiring. <br /> 8. Complaints Concerning Operations. The County or its representative may submit a <br /> written report to Norman enumerating problem areas encountered. Norman will provide written <br /> documentation of action to be taken to resolve problems. <br /> 9. Termination by the County. The County reserves the right to terminate the agreement <br /> at any time, upon sixty (60) days advance written notice to the Norman if the service operation of <br /> facility is deemed to be unsatisfactory by the County and Norman has not cured the deficiencies . <br /> 10. Bankruptcy. If Norman is adjudged bankrupt, either voluntary or involuntary, the <br /> County may terminate this Agreement effective on the day and time the bankruptcy petition is <br /> filled and may proceed to provide service as previously outlined. <br /> SECTION H - FOOD CONCESSION OPERATION <br /> 1. Services. During the Term of this Agreement, Norman agrees to provide to County the <br /> services, including all labor, materials, and supplies required to perform such services, described <br /> in the RFP Number 2007075 and Norman' s Response to RFP Number 7054 attached and <br /> incorporated by reference herein as Exhibit B subject to the specific terms and conditions of this <br /> Agreement. <br /> 2. Equipment. The County will provide the current equipment for use by the Norman until <br /> they need to be replaced. See Exhibit C for a list and life expectancy of the current equipment. <br /> Norman shall be responsible for the maintenance of all equipment and for its replacement. <br /> Norman shall be responsible for all food preparation equipment needed to operate the facility <br /> including but not limited to coolers, sinks, refrigerators, sandwich preparation station, ice <br /> machines, etc. This equipment shall include any safety or fire prevention equipment necessary <br /> for proper operation. Norman shall furnish all equipment, food, service products, labor and <br /> supervision necessary to maintain a food service in an efficient operation. Outside ventilation is <br /> not provided. No cooking equipment that requires ventilation such as fryers or grills will be <br /> permitted. <br /> 3. Purchase of Existing Inventory. The County anticipates it will have food and beverage <br /> inventory on hand at the beginning of this lease. Norman agrees to buy all of the County' s <br /> inventory on hand at the beginning of this lease. The inventory purchase price shall be the <br /> County' s actual cost of the inventory on hand. <br /> 3 <br />
