14.09 Waiver of Claims SC 14.09 Delete paragraph 14.09 in its entirety and insert the following: Acceptance of Final Payment as Release. The acceptance by the CONTRACTOR of final payment shall be and shall operate as a release of the OWNER from all claims and all liability to the CONTRACTOR other than claims In stated amounts as may be specifically excepted by the CONTRACTOR for all things done or furnished in connection with this Work and for every act and neglect of the OWNER and others relating to or arising out of this Work. Any payment, however, final or otherwise, shall not release the CONTRACTOR or his sureties from any obligations under the Contract Documents or the Payment and Performance Bonds. SC 15.02 OWNER May Terminate for Cause SC 15.02.A Add the following sentence at the end of paragraph GC -15.02.A 5. Failure of CONTRACTOR to make proper payments to Subcontractor for labor, materials or equipment in connection with the Work. SC 15.02.D Add the following new paragraph immediately following GC -15.02.0 If, after termination of the Contract by the OWNER for cause as set forth in 15.02, it is determined that the CONTRACTOR had not failed to fulfill contractual obligations, the termination under 15.02 shall be deemed to have been for the convenience of the OWNER. In such event, adjustment of the contract price shall be made as provided in 15.03. SC 16 DISPUTE RESOLUTION SC -16 Add the following new paragraphs immediately after paragraph SC -16.01. SC -16.02 Venue This contract shall be governed by the laws of the State of Florida. Venue for any lawsuit by either party against the other party or otherwise arising out of this contract shall be in Indian River County, Florida, and in the event of federal jurisdiction, in the United States District Court for the Southern District of Florida. SC -17 Miscellaneous Add the following new paragraph immediately after paragraph GC17.05: SC -17.06 Liens A. This project is a "Public Works" under Chapter 255, Florida Statutes. No liens maybe filed against the OWNER. Pursuant to Florida Statues Section 255.05(1)(a)(2007), any claimant may apply to the OWNER for a copy of this Contract and the associated payment and performance bonds. The claimant shall have a right of action against the CONTRACTOR for the amount due him. Such action shall not involve the OWNER in any expense.
