Revised August, 2002 <br /> Section 7 . 6- Vice Chairman . The Vice Chairman shall perform the duties <br /> of the Chairman in the absence of the Chair. <br /> Section 7 .8 - Secretary. The Secretary shall give notice of all meetings of <br /> members and of the Board , except as otherwise provided , and shall keep and <br /> attest true records of all proceedings . In his absence from any such meeting , the <br /> assistant secretary, if any, or a chosen temporary secretary, shall record the <br /> proceedings . The Secretary shall have charge of the corporate seal and shall <br /> have authority to attest any and all instruments or writings to which the same <br /> may be affixed and generally shall perform all the duties normally associated with <br /> the office of Secretary of a Corporation . <br /> Section 7 . 9 - Treasurer. The Treasurer shall have the care and custody of <br /> all monies , funds and securities of the Council and shall cause to be deposited all <br /> funds of the council in and with such depositories as the Board may direct. The <br /> Treasurer shall keep all books of account relating to the business of the Council <br /> and shall render a statement of the Council's financial condition whenever <br /> required to do so by the Board or the Chair. <br /> Section 7 . 10 = Administrative Officers The Administrative Officers of the <br /> Corporation shall include an Executive Director, and the Corporation may, at the <br /> discretion of the Board , have additional Administrative Officers including, without <br /> limitation, one or more additional assistant directors . <br /> 7. 10. 1 Executive Director. The Executive Director shall be <br /> responsible for the day to day operation of the Council and shall make <br /> recommendations to the Directors regarding the operation of the Council's goals <br /> and objectives. Unless otherwise speed , authority shall be limited to the <br /> following , <br /> (A) All required financial , tax, and other reports be filed <br /> timely and reported promptly, <br /> (B) All expenditures shall be governed by the Council's <br /> current budget, <br /> (C) All expenditures , with the exception of payroll, require an <br /> invoice/receipt, <br /> (D) The Executive Director shall be responsible for approving <br /> all expenditures up to $5,000 in accordance with the <br /> approved budget.. Any expenditure over $5 ,000 shall <br /> require prior approval by the Board . <br /> - i0 - <br />
