Revised August, 2002 <br /> the Committee, one of whom shall be designated by the <br /> Chair as Chair of the Committee . <br /> (C ) Powers and Functions . The resolution creating an additional <br /> Board Committee shall designate the authority of the Board <br /> which such Board Committee shall have and exercise when <br /> the Board is not in session and the functions such Board <br /> Committee shall discharge . <br /> 6 .4-2 Combination of Board Committees. If the Board determines <br /> that one or more of the Board Committees should not exist, <br /> the Board shall assign the functions of such Board <br /> Committee to a new or existing Board Committee or to the <br /> Board as a whole . <br /> ARTICLE VII <br /> OFFICERS : POWERS AND DUTIES <br /> Section 7. 1 — Officers of the Board . The officers of the Board shall be a <br /> Chair , Vice Chair, Secretary and Treasurer. The Board may also elect one or <br /> more assistant secretaries , one or more assistant treasurers, and such other <br /> officers as from time to time may appear to be necessary or advisable in the <br /> conduct of the affairs of the council . <br /> Section 7.2 — Term of Office. So far as practicable , all officers shall be <br /> elected at the Annual Meeting of the Board in each year, and each officer shall <br /> hold office until the Annual Meeting thereof in the next subsequent year and until <br /> his successor is chosen , unless he sooner dies, resigns, is removed or becomes <br /> disqualified . <br /> Section 7 .3 — Removal of Elected Officers. Any officer may be removed at <br /> any time, either with or without cause, by the affirmative vote of a majority of the <br /> whole Board , at any meeting thereof. <br /> Section 7.4 — Vacancies . If any vacancy occurs in any office, the Board of <br /> Directors may elect a successor to fill such vacancy for the remainder of the <br /> term . <br /> Section 7 .5 Chair The — Chair shall preside at all meetings of the <br /> members and directors at which the Chair is present. The Chair shall have . <br /> general power to appoint, remove and fix (subject to the approval of the Board <br /> the compensation of the Executive Director. The Chair shall perform other <br /> such duties from time to time as assigned by the Board or these Bylaws. The <br /> Chair shall appoint the chairs of all standing committees. <br /> _ g _ <br />
